1. General: Entire Agreement

A. The sale of instrument(s), consumable(s), reagent(s), software or service part(s) (collectively hereinafter referred to as the "Product(s)") or provision of services in support of Products (the "Service(s)") by Molecular Devices (the "Seller") to the party purchasing the Products (the "Buyer") shall be governed by these terms and conditions.

B. Seller's offer to sell the Products to Buyer is expressly limited to Buyer's acceptance to these terms and conditions.  Any of the following constitutes Buyer's unqualified acceptance of these terms and conditions:

  1. Issuance or assignment of a purchase order for the Products,
  2. Acceptance of any Product under the purchase order, or
  3. Payment for any of the Products under the purchase order.

C. Additional or different terms or conditions proposed by Buyer (including any additional or different terms provided in a purchase order) shall be void and of no effect unless specifically accepted in writing by Seller.

D. This Agreement shall be the exclusive agreement between the parties for the Products and Services, subject to the terms and conditions herein. Any prior or contemporaneous understandings, agreements, and representations, oral or written, are superseded by these terms and conditions. No modification to these terms and conditions shall be valid unless in writing and signed by Seller.

E. Agents and sales representatives of Seller have no authority to make any representations not included herein, and any such representations should not be relied on by Buyer.

2. License

Buyer acknowledges that any software programs included with the Products (the "Software") are licensed to Buyer under the terms and conditions of the click-through license agreement provided with the Software and that title to the Software (or any copies thereof) is not transferred to Buyer. As used herein, the term "sale" or "sold" in connection with the Software means sale of a license to use the Software.

3. Price

The Products and other items or Services covered by this Agreement shall be sold and invoiced at the prices listed on the quotation, website or published price list. Prices do not include sales, excise, use or other taxes now in effect or hereafter levied by reason of this transaction. Buyer will pay and indemnify and hold Seller harmless from all such taxes.

4. Payment Terms

A. Payment terms are net thirty (30) days from date of invoice. Seller reserves the right to require alternative payment terms, including, without limitation, site draft, letter of credit or payment in advance.

B. If payment is not received by the due date, a late charge will be added at the rate of one and one-half percent (1.5%) per month (eighteen percent (18%) per year) or the maximum legal rate, whichever is less, to unpaid invoices from the due date thereof.

D. If Buyer is delinquent in paying any amount owed to Seller by more than ten (10) days, then without limiting any other rights and remedies available to Seller under the law, in equity, or under the Agreement, Seller may (i) suspend production, shipment or deliveries of any or all Products purchased by Buyer, or (ii) by notice to Buyer, treat such delinquency as a repudiation by Buyer of the portion of the Agreement not then fully performed, whereupon Seller may cancel all further deliveries and any amounts unpaid hereunder shall immediately become due and payable. If Seller retains a collection agency and/or attorney to collect overdue amounts, all collection costs, including attorney's fees and expenses, shall be payable by Buyer. Buyer hereby represents to Seller that Buyer is now solvent and agrees that each acceptance of delivery of the Products sold hereunder shall constitute reaffirmation of this representation at such time.

5. Purchase Money Security Interest

Seller reserves a purchase money security interest in the Products in the amount of the purchase price of such Products to secure Buyer's obligations hereunder. Buyer appoints Seller as its agent and attorney-in-fact to execute any financing statements under the Uniform Commercial Code and any appropriate amendments thereto on Buyer's behalf which Seller deems necessary to protect Seller's interest in the Products.

6. Shipment

A. Seller will use commercially reasonable efforts to comply with shipping instructions provided by Buyer. In the absence of any specific shipping instruction, Seller will ship by the method it deems most advantageous. Transportation charges will be charged "collect" to Buyer or subsequently invoiced to Buyer by Seller. When special or export packaging is required, the cost of the same, if not set forth on the invoice, will be separately invoiced.

B. Seller may make delivery in installments and may render a separate invoice for each installment. Each installment shall be deemed a separate sale. Delay in delivery of any installment shall not relieve Buyer of its obligation to accept delivery of remaining installments. Any delivery not in dispute shall be paid for on the due date, as provided in this Agreement, without any offset, regardless of controversies relating to other delivery or undelivered products.

C. All Products shall be suitably packed for air and ground shipment, unless otherwise requested by Buyer and agreed to in writing by Seller.

7. Title, Risk Of Loss, Insurance

Unless stated otherwise by Seller, all shipments will be EXW (Ex Works) (as defined in Incoterms 2010) Seller's shipping facility, if destination of delivery is outside the United States, and F.O.B. (Free on Board) (as defined in U.C.C. Section 2-319) Seller's shipping facility, if destination of delivery is within the United States. Title to each shipment of the Products sold hereunder and risk of loss thereon shall pass to Buyer when Seller or its agent tenders such shipment to the carrier, but such shipment shall remain subject to Seller's rights of stoppage in transit and of reclamation.

8. Acceptance

Buyer or Buyer's agent may inspect the Products at Seller's place of manufacture. Buyer shall accept any tender of the Products by Seller which substantially conforms to the description of the Products set forth herein. Buyer shall be deemed to have irrevocably accepted any Product and, subject to Section 13, Buyer's right to reject such Product shall cease, unless Buyer gives to Seller notice of rejection in writing: (a) in the case of defects discoverable through inspection, within ten (10) days after delivery to the destination specified in Buyer's purchase order, or (b) in the case of defects not discoverable through inspection, within twenty (20) days after delivery to the destination specified in Buyer's purchase order. Buyer's notice must specify the nature of the defect or grounds for the rejection in reasonable detail. Buyer's right to inspect and reject any defective Product as described in this Section 8 does not apply to any Replacement Parts (as defined in Section 13). Buyer must obtain a return material authorization ("RMA") number from Seller prior to returning any defective Product. Buyer's return shall not be accepted at Seller's facility without a RMA number.

9. Returns

Seller may, at its discretion, accept the return of a purchased Product within twenty (20) days of shipment from Seller. All returns must be in original packaging and unopened and must display a valid RMA number provided by Seller. Buyer is responsible for paying a twenty-five percent (25%) restocking fee and all return shipping and insurance charges. Buyer assumes all liability for any damage that occurs on return shipment to Seller. For greater clarity, purchased consumables (the "Consumable(s)") or reagents (the "Reagent(s)") may not be returned by Buyer.

10. Force Majeure

Seller shall not be liable, directly or indirectly, for any delay or failure in performance of any obligation under this Agreement, including any delivery obligation, where such delay or failure arises or results from a cause beyond Seller's reasonable control, or beyond the reasonable control of Seller's suppliers or contractors, including, but not limited to strike, boycott or other labor disputes, embargo, governmental regulation, inability or delay in obtaining materials, acts of God, war, earthquake, fire, or flood. In the event of such force majeure, the time for delivery or other performance will be extended for a period equal to the duration of the delay caused thereby, provided that Seller notifies Buyer of the nature and duration of such force majeure event.

11. Limitation of Liability

IN NO EVENT WILL SELLER BE RESPONSIBLE OR LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY LOST PROFITS, OR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL OR CONTINGENT DAMAGES ARISING FROM OR RELATING TO THIS CONTRACT, EVEN IF SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SELLER'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THIS AGREEMENT, INCLUDING FOR ANY LIABILITY ON ACCOUNT OF A CLAIMED DEFECT IN ANY PRODUCT DELIVERED BY SELLER, WHETHER IN CONTRACT OR TORT OR OTHERWISE, SHALL IN NO EVENT EXCEED THE PURCHASE PRICE OF THE PRODUCT PAID BY BUYER ON WHICH THE CLAIM IS BASED.

12. Choice Of Law, Venue, and Attorney's Fees

This Agreement is made in, governed by, and shall be construed in accordance with the laws of the State of California, without regard to any conflicts of law principles that would result in application of laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. Any legal action or other legal proceeding relating to this Agreement or the enforcement of any provision of this Agreement must be brought in any state or federal court located in Santa Clara County, California. Buyer and Seller expressly and irrevocably consents and submits to the jurisdiction of such courts for the adjudication of any claim and enforcement of any order emanating from such courts. The prevailing party in any legal action brought by one party against the other shall be entitled, in addition to any rights and remedies it may have, to reimbursement for its expenses incurred thereby, including court costs and reasonable attorney's fees and expenses.

13. Warranty

A. Instrument Warranty. Seller warrants that the instrument (the "Instrument(s)") purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Instrument has been operated at all times in accordance with the instruction manual and user guide by or under the direct supervision of a certified operator who has attended Seller's training course for the Instrument. If the Instrument is installed by an authorized field service engineer of Seller (the "Seller Representative"), then the warranty period for the Instrument ends twelve (12) months after the date of installation (as certified by Seller Representative) or thirteen (13) months after the date of shipment, whichever is shorter. If the Instrument is not installed by a Seller Representative, the warranty period for the Instrument terminates twelve (12) months after date of shipment. Seller will provide field service for drug discovery Products under warranty, and will provide depot service for bioresearch Products under warranty. Buyer may purchase an upgrade to field service for some bioresearch Products.

B. Instrument Accessory Warranty. Seller warrants that the option, accessory or media on which a copy of the software is placed (each hereinafter referred to as an "Instrument Accessory") will be free from defects in materials and workmanship during the applicable warranty period. If an Instrument Accessory is acquired at the time the Instrument is purchased, then the warranty period for the Instrument Accessory will be the same as the warranty period for the Instrument. If an Instrument Accessory requires installation after the Instrument is purchased, but during the warranty period of the Instrument, then the warranty period for the Instrument Accessory will be the greater of (i) the remaining warranty period for the Instrument, or (ii) the lesser of ninety (90) days from the date of installation of the Instrument Accessory or one hundred and twenty (120) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory requires installation after the warranty period for the Instrument has expired, the warranty period for the Instrument Accessory will be the lesser of ninety (90) days from the date of installation of the Instrument Accessory or one hundred and twenty (120) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory that does not require installation is acquired after the Instrument is purchased, but during the warranty period of the Instrument, then the warranty period for the Instrument Accessory will be the greater of (i) the remaining warranty period for the Instrument, or (ii) ninety (90) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory that does not require installation is acquired after the warranty period for the Instrument has expired, the warranty period for the Instrument Accessory will be ninety (90) days from the date of shipment of the Instrument Accessory.

C. Instrument Service Parts Warranty. Seller warrants that the Instrument service parts (the "Replacement Part(s)") purchased from Seller will be free of defects in materials and workmanship, only if such parts are installed by Seller Representative. The warranty period for the Replacement Part is the greater of (i) the remaining warranty period of the Instrument, or (ii) ninety (90) days from the date of installation of the Replacement Part.

D. Software Warranty. Seller warrants that the Software purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Software has been operated at all times in accordance with the instruction manual and user guide by or under the direct supervision of a certified operator who has attended Seller's training course for the Software. If the Software is installed by an authorized Seller Representative, then the warranty period for the Software begins upon installation of the Instrument and ends twelve (12) months after the date of installation (as certified by Seller Representative) or thirteen (13) months after the date of shipment, whichever is shorter. If the Software is not installed by a Seller Representative, the warranty period for the Software terminates twelve (12) months after date of shipment.

E. Consumable and Reagent Warranty. Seller warrants that the Consumables and Reagents purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Consumable or Reagent has been used at all times in accordance with the instruction manual and user guide. Each Consumable and Reagent is shipped with documentation stating specifications and other technical information. Seller's Consumables and Reagents are warranted to meet or exceed the stated specifications. Sellers' sole obligation and the Buyer's sole remedy are limited to replacement of the Consumable or Reagent free of charge in the event that the Consumable or Reagent fails to perform as warranted. The warranty period for the Consumable or Reagent ends six (6) months after the date of shipment.

F. Warranty Exclusion. The warranties provided above and the remedies provided below will not apply to any Product if: (i) Seller determines that a problem is caused by accident, abuse, misuse, negligence, misapplication, fire, earthquake, flood, other force majeure event, failure of electrical power, the use of unauthorized parts or reagents, or unauthorized repairs or modifications; (ii) Seller determines that a problem is caused during or as a result of shipment or relocation; (iii) Seller's serial number has been removed or defaced from the Product; or (iv) a problem arises from or is based on Seller's compliance with Buyer's specifications

G. Remedy. For any breach of the warranties provided in this statement, Seller will, at its own expense and option, and as its sole obligation, and as Buyer's exclusive remedy, (a) repair or replace any defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent if Buyer notifies Seller during the applicable warranty period and Seller determines that the Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent is defective and is covered by the warranty; or (b) if Seller determines that it is unable to repair or replace the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent, refund the purchase price paid by Buyer for the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent. Seller is not required to repair, replace or refund any defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent if Buyer fails or refuses to certify to the Seller in writing that the Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent has been appropriately decontaminated and cleaned and is safe for handling by Seller personnel (the "Clearance Certificate"). The warranty period for the repaired or replaced Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent will not exceed the warranty period for the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent. The warranty period for any Replacement Parts, which may be new, remanufactured or refurbished at Seller's sole discretion, will not exceed the warranty period for the defective Instrument or Instrument Accessory.

H. Warranty Disclaimer. THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EITHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE PRODUCTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

I. Additional Disclaimer. Any sample or model of the Product(s) used in connection with this Agreement is for illustrative purposes only, is not part of the basis of this Agreement, and is not to be construed as a warranty that the Products will conform to the sample or model. No affirmation of fact or promise made by Seller, or Seller Representative whether or not in this Agreement, shall constitute a warranty that the Products will conform to the affirmation or the promise.

14. Assignment

This Agreement and Buyer's rights hereunder may not be assigned to any third party by Buyer except with the prior written approval of Seller. Any assignment of this Agreement or any rights hereunder in violation of this Section will be null and void.

15. Waiver

Waiver by Seller of any provision of this Agreement or breach by Buyer on any provision of this Agreement shall not be deemed a waiver of future compliance with this Agreement, and such provision, as well as all other provisions of this Agreement, shall remain in full force and effect.

16. Compliance with Law

A. Buyer agrees to comply with all applicable foreign, U.S., state, and local laws, rules, and regulations relating to this Agreement and the Products including the laws, rules, and regulations of the United States which restrict the export and re-export of commodities and technical data of United States origin, including the Products. 

B. Furthermore, Buyer shall not resell any Product, and Seller shall have no obligation to sell any Product to Buyer, to or for use of any ultimate purchaser with which Seller could not deal under the laws and regulations of the United States, including, without limitation, the regulations of the United States Departments of Commerce, Defense, State and Treasury. Buyer further agrees to immediately transmit to Seller any information which may come to its attention concerning violation of such regulations by Buyer's customers.

C. Buyer will defend, indemnify, and hold harmless Seller from and against any violation of any laws, rules or regulations by Buyer or any of its agents, officers, directors, or employees in violation of this Section.

17. U.S. Government End Users

The Products are "commercial items," as that term is defined at 48 C.F.R. 2.101, consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 and is provided to the U.S. Government only as a commercial end item. Any technical data provided with such Products is commercial technical data as defined in 48 C.F.R. 12.211. Consistent with 48 C.F.R. 12.211 through 12.212, 48 C.F.R. 227.7202-1 through 227.7202-4, and 48 C.F.R. 252.227-7015, all U.S. Government End Users acquire the Products with only those rights set forth herein.

18. Service Agreement

Buyer is covered by this service agreement ("Service Agreement") if Buyer's Instrument or Software is under warranty or Buyer has purchased Services, including a maintenance and support contract.  Buyer may purchase annual maintenance and support services ("Service Plan") for any Product in accordance with the Service Agreement  provided that Seller generally offers such services. Seller may, at its discretion, accept or reject Buyer's purchase order for Service(s).

1. Services. Subject to the terms and conditions herein, Seller will use commercially reasonable efforts to provide to Buyer the following Services for the Product:

a)        diagnosis and repair or any malfunction resulting from and traceable to defects in materials and workmanship of Seller; and

b)       software maintenance and support as further described in Section 6 below.

Subject to Buyer's payment of the fees for the Services, Seller will be responsible for all costs incurred in providing the Services including labor and materials, shipping and travel expenses, except as otherwise provided herein. Seller shall have the right to determine in its sole discretion what corrective action Seller will perform to fix any malfunction in the Product. Seller may subcontract the Services to a third party contractor provided that Seller will be responsible for the third party contractor's compliance with the terms herein.

Seller, provides Services for the Products in accordance with the following requirements:

a)        Seller's Products are removed and decontaminated from biohazardous Buyer's location;

b)       Entry into Biosafety level ("BSL") 4 Buyer location by Seller Representative is not permitted for any purpose;

c)        Entry into BSL 3 Buyer location is permitted and Services are provided, with confidentiality, when the Buyer:

i.               justifies that removal of the Product from the Buyer location is not feasible,

ii.              provides evidence of decontamination, when asked, for Products that require Service,

iii.            provides a list of recommended inoculations available against the biohazardous location materials,

iv.            provides information about hazards in the location,

v.              provides instructions for safe entry into the location,

vi.            provides instructions for fire, exposure or spill and other potential emergencies,

vii.           provides appropriate safety equipment in good condition, with acceptable fit and with reasonable instructions for use;

d)          Waivers are not signed before entry or visit to any biohazardous Buyer location; and

e)           Seller Representatives retain the right to refuse Services until the above requirements are met to the satisfaction of the Seller Representatives who are trained to have reasonable safety expectations.

Buyer shall reference the applicable contract number as shown on Seller's quotation for the Services on all purchase orders submitted by Buyer to Seller.

2. Replacement Part(s). As part of the Services provided under warranty or Service Plan, Seller will provide, free of charge, Replacement Parts for any defective or damaged parts due to defects in materials and workmanship.  Seller will not provide, free of charge Consumables (e.g. microplates, cuvettes, spectratest plates, lamps, patch plates, water, and air filters) or Reagents. Buyer may purchase Consumables and Reagents from Seller. Replacement Parts may be new, remanufactured, or refurbished at Seller's sole discretion. Any Replacement Parts that have been replaced will become the property of Seller.  

3. Response Time and Return Procedure. Buyer may contact Seller via telephone or email to report any malfunction of the Product, during the hours of 8:00 a.m. and 5:00 p.m., Pacific Standard Time ("PST"), Monday through Friday, excluding holidays. A list of standard holidays will be provided to Buyer upon request. Seller will make commercially reasonable efforts to acknowledge receipt of a Service request by phone within one (1) hour, and by email within twenty-four (24) hours. All Service requests from Buyer made under warranty or Service Plan will receive preferential consideration over Service requests from other buyers that are not under existing warranty or Service Plan.

For Service requests under depot service, if the Service request cannot be resolved over the telephone, Seller will fax or email a Service request package, containing a Service request number, clearance forms, and if applicable, customs forms to Buyer within twenty-four (24) hours thereafter.  Upon receiving the Service request package, Buyer will pack and ship the defective Product to Seller's facility in accordance with the instructions provided by Seller.  For Products under an existing warranty or Service Plan for depot Services, Seller will be responsible for the cost of shipping the defective Product to Seller and the cost of shipping the repaired or replaced Product to Buyer, but not the insurance cost.  Buyer will have the option to purchase insurance.

For Products that are not under an existing warranty or Service Plan for depot Services, prior to the shipment of a Product to Seller, Buyer shall place a purchase order ("PO") with Seller for the amount equal to the estimate stated in Seller's quotation for the Service. The PO must reference the instrument type and serial number. If the actual cost of the Services (parts, labor and shipping) is less than the estimate, Buyer will be billed the actual cost of the Services without further communication. If the cost of the Services is determined to exceed the estimate, Seller shall contact Buyer before any further work is done. If Buyer wishes to continue with the Services, Buyer shall amend the PO to equal the revised estimate for the Services as quoted by Seller. If Buyer does not wish to proceed with the Services based on such estimate, the Product will be returned to Buyer and Buyer shall be invoiced for and shall pay the minimum depot service fee according to Seller's then current list price as quoted by Seller.

For field Service requests under warranty or field Service Plan , if the Service request cannot be resolved over the telephone, Seller will dispatch its Seller Representative.   Seller will use reasonable efforts under the circumstances to provide Services as quickly as possible. The Service will be scheduled at a time mutually agreed upon by Seller and Buyer.

For Products that are not under an existing warranty or Service Plan for field Services, for field Service requests Seller will dispatch Seller Representative only upon receipt from Buyer of a PO for the amount equal to the minimum field service fee according to Seller's then current list price as indicated on Seller's quotation. If the cost of the Services is determined to exceed the minimum field service fee, Seller shall provide an estimate for such Services to Buyer before any further work is done. If Buyer wishes to continue with the Services, Buyer shall amend the PO to equal the estimate for the Services as quoted by Seller.

For Instruments that are under an existing warranty or Service Plan, Seller may, at its discretion and based on instrument availability, provide a loaner instrument(s) with equivalent functionality to Buyer, at no cost to Buyer, for use for Buyer's internal business purposes during such time as the Services for Buyer's Instrument(s) are performed. Buyer acknowledges that all right, title and interest in and to such loaner instrument(s) shall at all times remain with Seller, and Buyer shall return such instrument(s) to Seller upon the earlier of Seller's request or completion of Services for Buyer's respective Instrument(s).

4. Support Conditions. Seller's obligation to provide the Services is conditioned on Buyer: a) notifying Seller of any malfunction of the Product within a reasonable period of time; b) providing Seller all information relating to the malfunction; c) packing and shipping the defective Product (if the Product is depot serviced) to Seller's facility in accordance with Seller's instructions; d) providing access to the defective Product and Buyer's facility where the Product is located and informing Seller of any potential hazards which may be encountered while servicing the Product (if the Product is  field serviced); and e) returning a completed and signed Clearance Certificate.

5. Service Exclusions. Seller is not obligated to provide the Services if any malfunction arises from or relates to: (a) improper installation of the Product; (b) neglect, misuse or abuse of the Product; (c) use of unauthorized parts, Consumables or Reagents, or removal of any parts; (d) repair, modification or alteration of the Product by anyone other than an authorized Seller Representative; (e) relocation of the Product; (f) failure of or erratic electrical power; or (h) fire, earthquake, flood, or other force majeure event.  The Services do not include training in using, diagnosing, or repairing the Product, relocation of the Product, or any service other than those referred to herein.  Seller may refuse to provide the Services with respect to any Product which has not been properly maintained or which cannot be decontaminated or cleaned to remove any hazardous material.  

6. Software Support and Maintenance Services.  The Software support and maintenance services include the following services:

i)      Seller will answer technical questions concerning functions and features of the Software;

ii)     Seller will provide error verification, analysis and corrective efforts for the Software; and

iii)    Seller will provide, without charge, releases of the Software that Seller provides to Buyer to correct errors, fix bugs, or create minor improvements, incremental features, or enhancements of existing features (the "Update(s)") which Updates Seller will designate by a change in the number to the Update of the Software released during the term of this Agreement.

As used herein, a Software Update is designated by a change in the number to the right of the first or second decimal point. For greater clarity, Updates do not include those releases of the Software that provide substantial new features or additional functionality which Seller designates by a change in the number to the left of the first decimal point.

Buyer acknowledges that all reported errors may not be corrected. Any Update will be deemed part of the Software and will be used in accordance with the requirements and obligations in the license agreement for the Software.

7. Exclusions from Software Support.  In addition to the exclusions provided in Section 5 above, Seller will not be obligated to provide the Software support services if (a) any error is caused by malfunction of any hardware (other than malfunction of any Product) used with the Software, (b) error or malfunction of any third party software used by Buyer either separately or in conjunction with Seller's Software, or (c) Buyer has failed to incorporate the latest Update previously released to Buyer.

8. Reinstatement Inspection.  If the original warranty or previous Service Agreement for any Product has expired, a reinstatement inspection by Seller, which confirms that such Product has been properly maintained, will be required before Seller will provide the Services for such Product under this Agreement. If reinstatement inspection is required, Buyer will be separately billed for the costs for reinstatement inspection. The fees for Services do not include reinstatement inspection.    

9. IP Ownership. As between Seller and Buyer, Seller will exclusively own all rights in and to any inventions, improvements, or technology created, developed, or made by any employee or contractor of Seller in connection with the performance of the Services.    

10. Warranty and Disclaimer.  Seller warrants that it will provide the Services at least in accordance with generally accepted standards prevailing in the instrument repair industry. Warranty claims must be made within ninety (90) days after Services are performed. EXCEPT AS PROVIDED HEREIN AND IN THE TERMS AND CONDITIONS OF SALE OF THE PRODUCT, SELLER HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICES, THE PRODUCTS, AND THE REPLACEMENT PARTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. SELLER'S SOLE LIABILITY AND RESPONSIBILITY UNDER THIS SERVICE AGREEMENT AND ANY UNDERLYING SERVICE PLAN FOR BREACH OF WARRANTY IS RE-PERFORMANCE OF THE SERVICES WITHIN A REASONABLE TIME OR RETURN OF THE FEE PAID FOR THE DEFECTIVE SERVICES AT SELLER'S OPTION. THESE ARE BUYER'S SOLE AND EXCLUSIVE REMEDIES FOR ANY BREACH OF WARRANTY.

11Limitation of Liability. IN NO EVENT WILL SELLER BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, EXEMPLARY, SPECIAL, OR INCIDENTAL DAMAGES, INCLUDING ANY LOST PROFITS, ARISING FROM OR RELATING TO THE SERVICES EVEN IF SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SELLER'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THE SERVICES, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL NOT EXCEED THE FEES PAID FOR THE SERVICES HEREUNDER DURING THE CALENDAR YEAR WHEN THE INCIDENT GIVING RISE TO THE CLAIM TOOK PLACE. ONE OR MORE CLAIMS WILL NOT ENLARGE THIS LIMIT.

12. Indemnity. Buyer will defend, indemnify, and hold Seller harmless from any and all claims, losses, damages, debts, settlements, costs, attorneys' fees, expenses and liabilities of any type whatsoever (collectively referred to as "Claims") arising from or related to any injury to employees or contractors of Seller caused by improper installation or use of a Product by Buyer, power supply used by Buyer with a Product, or any material processed by a Product. Seller will have the right to participate in or conduct the defense of such Claim with counsel of its own choice. Seller will use reasonable effort to promptly notify Buyer of any such Claim.  No settlement of a Claim will be binding on Seller without its prior written consent. 

13. Term and Termination. Unless otherwise expressly stated by Seller in writing, including in the terms of the purchased Service Plan, the initial term of a Service Plan and this Agreement is one year, commencing on the date designated by Seller in its quotation or otherwise specified to Buyer. Either party may terminate a Service Agreement, effective immediately, if the other party commits a material breach of the terms and conditions herein and fails to cure such breach within thirty (30) days after receiving written notice thereof. If Seller terminates this Service Agreement as a result of Buyer's material breach, Seller will not be obligated to refund any portion of the fees paid for the Services. Buyer may terminate this Service Agreement by providing to Seller thirty (30) days prior written notice if Buyer trades in the Product to purchase another Product from Seller. In which event, Seller may apply a credit toward purchase of a Service Plan for the new Product equal to the prorated refund of the fees paid for the Services based on the remaining duration of the Service Agreement. Seller may terminate this Agreement if Buyer transfers the Instrument to another location. Sections 9, 10, 11, 12, 13, 14 and 15 will survive any termination or expiration of this Service Agreement.

14. Independent Contractor. The parties are acting hereunder as independent contractors and not as partners, agents, fiduciaries, or joint venturers. Neither party has the power or authority represent, act for, bind, or otherwise create or assume any obligation on behalf of the other party.  

15. Force Majeure. Any delay in the performance of any duties under warranty or this Service Agreement (except for payment of fee owed) by either party will not be considered a breach if such delay is caused by a labor dispute, shortage of materials, fire, earthquake, flood, or other event beyond the control of such party, provided that such party uses reasonable efforts to notify the other party of the circumstances causing the delay and to resume performance as soon as possible.

Terms and Conditions

1. General; Entire Agreement

A. The sale of instrument(s), consumable(s), reagent(s), software or service part(s) (collectively hereinafter referred to as the "Product(s)") or provision of services in support of Products (the "Service(s)") by Molecular Devices Limited, having its registered offices at 660-665 Eskdale Road, Winnersh Triangle, Wokingham, Berkshire RG41 5TS, UK (the"Seller") to the party purchasing the Products (the "Buyer") shall be governed by these terms and conditions.

B. Seller's offer to sell the Products to Buyer is expressly limited to Buyer's acceptance of these terms and conditions. Any of the following constitutes Buyer's unqualified acceptance of these terms and conditions:

       1.        Issuance or assignment of a purchase order for the Products,

       2.        Acceptance of any Product under the purchase order, or

       3.        Payment for any of the Products under the purchase order.

C. Additional or different terms or conditions proposed by Buyer (including any additional or different terms provided in a purchase order) shall be void and of no effect unless specifically accepted in writing by Seller.

D. This Agreement shall be the exclusive agreement between the parties for the Products and Services, subject to the terms and conditions herein. Any prior or contemporaneous understandings, agreements, and representations, oral or written, are superseded by these terms and conditions. No modification to these terms and conditions shall be valid unless in writing and signed by Seller.

E. Agents and sales representatives of Seller have no authority to make any representations not included herein, and any such representations should not be relied on by Buyer.

2. License

Buyer acknowledges that any software programs included with the Products (the "Software") are licensed to Buyer under the terms and conditions of the click-through license agreement provided with the Software and that title to the Software (or any copies thereof) is not transferred to Buyer. As used herein, the term "sale" or "sold" in connection with the Software means sale of a license to use the Software.

3. Price

The Products and other items or Services covered by this Agreement shall be sold and invoiced at the prices listed on the quotation, website or published price list (the "Price"). Prices do not include value added tax (VAT), sales, excise, use or other taxes now in effect or hereafter levied by reason of this transaction. Buyer will pay and indemnify and hold Seller harmless from all such taxes.

4. Payment Terms

A. Payment terms are net thirty (30) days from date of invoice. Seller reserves the right to require alternative payment terms, including, without limitation, site draft, letter of credit or payment in advance. Time of payment shall be of the essence and payments shall be made without deduction or set off.

B. If payment is not received by the due date, a late charge will be added at the rate of one and one-half percent (1.5%) per month (eighteen percent (18%) per year) or the maximum legal rate, whichever is less, to unpaid invoices from the due date thereof.

C. All payments will be made to the Seller at the following address.

D. Where Buyer fails to pay any amount owed to Seller by more than ten (10) days after the due date, then without limiting any other rights and remedies available to Seller under the law, in equity, or under the Agreement, Seller may (i) suspend production, shipment or deliveries of any or all Products purchased by Buyer, or (ii) by notice to Buyer, treat such late payment as a repudiation by Buyer of the portion of the Agreement not then fully performed, whereupon Seller may cancel all further deliveries and any amounts unpaid hereunder shall immediately become due and payable. If Seller retains a collection agency and/or attorney to collect overdue amounts, all collection costs, including attorney's fees and expenses, shall be payable by Buyer. Buyer hereby represents to Seller that Buyer is now solvent and agrees that each acceptance of delivery of the Products sold hereunder shall constitute reaffirmation of this representation at such time.

5. Purchase Money Security Interest

Seller reserves a purchase money security interest in the Products in the amount of the purchase price of such Products to secure Buyer's obligations hereunder. Buyer appoints Seller as its agent and attorney-in-fact to execute any financing statements under the Uniform Commercial Code and any appropriate amendments thereto on Buyer's behalf which Seller deems necessary to protect Seller's interest in the Products.

6. Shipment

A. Seller will be responsible for shipment to Buyer. Seller will ship by the method it deems most advantageous. When special or export packaging is required, the cost of the same, if not set forth on the invoice, will be separately invoiced.

B. Seller may make delivery in installments and may render a separate invoice for each installment. Each installment shall be deemed a separate sale. Delay in delivery of any installment shall not relieve Buyer of its obligation to accept delivery of remaining installments. Any delivery not in dispute shall be paid for on the due date, as provided in this Agreement, without any offset, regardless of controversies relating to other delivery or undelivered products.

C. All Products shall be suitably packed for air and ground shipment, unless otherwise requested by Buyer and agreed to in writing by Seller.

D. Where the total value of any purchase order does not exceed €350 Seller reserves the right to apply a shipping and handling charge. . Details of such charges are set out in a schedule of shipping and handling charges which is available to Buyer on request. Buyer notes that Seller may vary the charges set out in the schedule of shipping and handling charges from time to time.

7. Title, Risk of Loss, Insurance

Unless stated otherwise by Seller, all shipments will be C.I.P. (Carriage and Insurance Paid) (Incoterms 2010) Seller's shipping facility. The Incoterms notwithstanding, transportation charges will be invoiced to buyer by seller. All Products are to be shipped by air freight from Seller's shipping facility. Title to the Products and risk of loss or damage to each shipment shall pass to Buyer when Seller or its agent tenders such shipment to the carrier.

8. Acceptance

Buyer or Buyer's agent may inspect the Products at Seller's place of manufacture. Buyer shall accept any tender of the Products by Seller which substantially conforms to the description of the Products set forth herein. Buyer shall be deemed to have irrevocably accepted any Product and, subject to Section 13, Buyer's right to reject such Product shall cease, unless Buyer gives to Seller notice of rejection in writing: (a) in the case of defects discoverable through inspection, within ten (10) days after delivery to the destination specified in Buyer's purchase order, or (b) in the case of defects not discoverable through inspection, within twenty (20) days after delivery to the destination specified in Buyer's purchase order. Buyer's notice must specify the nature of the defect or grounds for the rejection in reasonable detail. Buyer's right to inspect and reject any defective Product as described in this Section 8 does not apply to any Replacement Parts (as defined in Section 13). Buyer must obtain a return material authorization ("RMA") number from Seller prior to returning any defective Product. Any Product returned by Buyer without a RMA number shall not be accepted by Seller.

9. Returns

Seller may, at its discretion, accept the return of a purchased Product within twenty (20) days of shipment from Seller. All returns must be in original packaging and unopened and must display a valid RMA number provided by Seller. Buyer is responsible for paying a restocking fee of twenty five percent (25%) of the Price and all return shipping and insurance charges. Buyer assumes all liability for any damage that occurs on return shipment to Seller. For greater clarity, purchased consumables (the "Consumable(s)") or reagents (the "Reagent(s)") may not be returned by Buyer.

10. Force Majeure

Seller shall not be liable, directly or indirectly, for any delay or failure in performance of any obligation under this Agreement, including any delivery obligation, where such delay or failure arises or results from a cause beyond Seller's reasonable control, or beyond the reasonable control of Seller's suppliers or contractors, including, but not limited to strike, boycott or other labor disputes, embargo, governmental regulation, inability or delay in obtaining materials, acts of God, war, earthquake, fire, or flood. In the event of such force majeure, the time for delivery or other performance will be extended for a period equal to the duration of the delay caused thereby, provided that Seller notifies Buyer of the nature and duration of such force majeure event.

11. Limitation of Liability

IN NO EVENT WILL SELLER BE RESPONSIBLE OR LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY LOST PROFITS, OR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL OR CONTINGENT DAMAGES ARISING FROM OR RELATING TO THIS CONTRACT, EVEN IF SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SELLER'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THIS AGREEMENT, INCLUDING FOR ANY LIABILITY ON ACCOUNT OF A CLAIMED DEFECT IN ANY PRODUCT DELIVERED BY SELLER, WHETHER IN CONTRACT OR TORT OR OTHERWISE, SHALL IN NO EVENT EXCEED THE PURCHASE PRICE OF THE PRODUCT PAID BY BUYER ON WHICH THE CLAIM IS BASED. NOTHING IN THIS AGREEMENT SHALL LIMIT OR EXCLUDE THE SELLER'S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION OR DEATH OR PERSONAL INJURY ARISING FROM ANY NEGLIGENT ACT OR OMISSION OF THE SELLER.

12. Choice of Law, Venue, and Attorney's Fees

This Agreement is made in, governed by, and shall be construed in accordance with the laws of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. Buyer and Seller expressly and irrevocably submit to the exclusive jurisdiction of the Courts of England and Wales. The prevailing party in any legal action brought by one party against the other shall be entitled, in addition to any rights and remedies it may have, to reimbursement for its expenses incurred thereby, including court costs and reasonable attorney's fees and expenses.

13. Warranty

A. Instrument Warranty. Seller warrants that the instrument (the "Instrument(s)") purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Instrument has been operated at all times in accordance with the instruction manual and user guide by or under the direct supervision of a certified operator who has attended Seller's training course for the Instrument. If the Instrument is installed by an authorized field service engineer of Seller (the "Seller Representative"), then the warranty period for the Instrument begins upon shipment of the Instrument and ends twelve (12) months after the date of installation (as certified by Seller Representative) or thirteen (13) months after the date of shipment, whichever is shorter. If the Instrument is not installed by a Seller Representative, the warranty period for the Instrument terminates twelve (12) months after date of shipment. Seller will provide field service for drug discovery Products under warranty, and at Sellers sole discretion will provide either field or depot service for bioresearch Products under warranty.

B. Instrument Accessory Warranty. Seller warrants that the option, accessory or media on which a copy of the software is placed (each hereinafter referred to as an "Instrument Accessory") will be free from defects in materials and workmanship during the applicable warranty period. If an Instrument Accessory is acquired at the time the Instrument is purchased, then the warranty period for the Instrument Accessory will be the same as the warranty period for the Instrument. If an Instrument Accessory requires installation after the Instrument is purchased, but during the warranty period of the Instrument, then the warranty period for the Instrument Accessory will be the greater of (i) the remaining warranty period for the Instrument, or (ii) the lesser of ninety (90) days from the date of installation of the Instrument Accessory or one hundred and twenty (120) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory requires installation after the warranty period for the Instrument has expired, the warranty period for the Instrument Accessory will be the lesser of ninety (90) days from the date of installation of the Instrument Accessory or one hundred and twenty (120) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory that does not require installation is acquired after the Instrument is purchased, but during the warranty period of the Instrument, then the warranty period for the Instrument Accessory will be the greater of (i) the remaining warranty period for the Instrument, or (ii) ninety (90) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory that does not require installation is acquired after the warranty period for the Instrument has expired, the warranty period for the Instrument Accessory will be ninety (90) days from the date of shipment of the Instrument Accessory.

C. Instrument Service Parts Warranty. Seller warrants that the Instrument service parts (the "Replacement Part(s)") purchased from Seller will be free of defects in materials and workmanship, only if such parts are installed by Seller Representative. The warranty period for the Replacement Part is the greater of (i) the remaining warranty period of the Instrument, or (ii) ninety (90) days from the date of installation of the Replacement Part.

D. Software Warranty. Seller warrants that the Software purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Software has been operated at all times in accordance with the instruction manual and user guide by or under the direct supervision of a certified operator who has attended Seller's training course for the Software. If the Software is installed by an authorized Seller Representative, then the warranty period for the Software begins upon installation of the Instrument and ends twelve (12) months after the date of installation (as certified by Seller Representative) or thirteen (13) months after the date of shipment, whichever is shorter. If the Software is not installed by a Seller Representative, the warranty period for the Software terminates twelve (12) months after date of shipment.

E. Consumable and Reagent Warranty. Seller warrants that the Consumables and Reagents purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Consumable or Reagent has been used at all times in accordance with the instruction manual and user guide. Each Consumable and Reagent is shipped with documentation stating specifications and other technical information. Seller's Consumables and Reagents are warranted to meet or exceed the stated specifications. Sellers' sole obligation and the Buyer's sole remedy are limited to replacement of the Consumables and Reagents free of charge in the event that the Consumable or Reagent fails to perform as warranted. The warranty period for the Consumable or Reagent ends six (6) months after the date of shipment.

F. Warranty Exclusion. The warranties provided above and the remedies provided below will not apply to any Product if: (i) Seller determines that a problem is caused by accident, abuse, misuse, negligence, misapplication, fire, earthquake, flood, other force majeure event, failure of electrical power, the use of unauthorized parts or reagents, or unauthorized repairs or modifications; (ii) Seller determines that a problem is caused during or as a result of shipment or relocation; (iii) Seller's serial number has been removed or defaced from the Product; or (iv) a problem arises from or is based on Seller's compliance with Buyer's specifications.

G. Remedy. For any breach of the warranties provided in this statement, Seller will, at its own expense and option, and as its sole obligation, and as Buyer's exclusive remedy, (a) repair or replace any defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent if Buyer notifies Seller during the applicable warranty period and Seller determines that the Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent is defective and is covered by the warranty; or (b) if Seller determines that it is unable to repair or replace the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent, refund the purchase price paid by Buyer for the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent. Seller is not required to repair, replace or refund any defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent if Buyer fails or refuses to certify to the Seller in writing that the Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent has been appropriately decontaminated and cleaned and is safe for handling by Seller personnel (the "Clearance Certificate"). The warranty period for the repaired or replaced Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent will not exceed the warranty period for the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent. The warranty period for any Replacement Parts, which may be new, remanufactured or refurbished at Seller's sole discretion, will not exceed the warranty period for the defective Instrument or Instrument Accessory.

H. Warranty Disclaimer. THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EITHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE PRODUCTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

I. Additional Disclaimer. Any sample or model of the Product(s) used in connection with this Agreement is for illustrative purposes only, is not part of the basis of this Agreement, and is not to be construed as a warranty that the Products will conform to the sample or model. No affirmation of fact or promise made by Seller, or Seller Representative whether or not in this Agreement, shall constitute a warranty that the Products will conform to the affirmation or the promise.

14. Assignment

This Agreement and Buyer's rights hereunder may not be assigned to any third party by Buyer except with the prior written approval of Seller. Any assignment of this Agreement or any rights hereunder in violation of this Section will be null and void.

15. Waiver

Waiver by Seller of any provision of this Agreement or breach by Buyer on any provision of this Agreement shall not be deemed a waiver of future compliance with this Agreement, and such provision, as well as all other provisions of this Agreement, shall remain in full force and effect.

16. Compliance with Law

A. Buyer agrees to comply with all applicable foreign, U.S., state, and local laws, rules, and regulations relating to this Agreement and the Products including the laws, rules, and regulations of the United States which restrict the export and re-export of commodities and technical data of United States origin, including the Products.

B. Furthermore, Buyer shall not resell any Product, and Seller shall have no obligation to sell any Product to Buyer, to or for use of any ultimate purchaser with which Seller could not deal under the laws and regulations of the United States, including, without limitation, the regulations of the United States Departments of Commerce, Defense, State and Treasury. Buyer further agrees to immediately transmit to Seller any information which may come to its attention concerning violation of such regulations by Buyer's customers.

C. Buyer will defend, indemnify, and hold harmless Seller from and against any violation of any laws, rules or regulations by Buyer or any of its agents, officers, directors, or employees in violation of this Section.

17. Service Agreement

Buyer may purchase annual maintenance and support services for any Product in accordance with Exhibit A (the "Service Agreement") provided that Seller generally offers such services at such time.

18. Entire Agreement

These terms and conditions represent the entire agreement between the parties as to the matters set forth herein and supersedes all prior agreements, discussions and understanding between the parties. Buyer may not assign or transfer any of its rights or obligations under these Terms & Conditions. Any additional or inconsistent terms provided by purchase order will not have any legally binding effect.

Terms and Conditions

1. SERVICES

Subject to the terms and conditions herein, Seller will use commercially reasonable efforts to provide to Buyer the following services for the Product (the "Services"):

a) diagnosis and repair for any malfunction resulting from and traceable to defects in materials and workmanship of Seller; and

b) software maintenance and support as further described in Section 6 below.

Subject to Buyer's payment of the fees for the Services, Seller will be responsible for all costs incurred in providing the Services including labor and materials, shipping and travel expenses, except as otherwise provided herein. Seller shall have the right to determine in its sole discretion what corrective action Seller will perform to fix any malfunction in the Product. Seller may subcontract the Services to a third party contractor provided that Seller will be responsible for the third party contractor's compliance with the terms herein.

Seller, provides Services for the Products in accordance with the following requirements:

a) Seller's Products are removed and decontaminated from biohazardous Buyer's location;

b) Entry into Biosafety level ("BSL") 4 Buyer location by Seller Representative is not permitted for any purpose;

c) Entry into BSL 3 Buyer location is permitted and Services are provided, with confidentiality, when the Buyer;

i.        justifies that removal of the Product from the Buyer location is not feasible,

ii.        provides evidence of decontamination, when asked, for Products that require Service,

iii.        provides a list of recommended inoculations available against the biohazardous location materials,

iv.        provides information about hazards in the location,

v.        provides instructions for safe entry into the location,

vi.        provides instructions for fire, exposure or spill and other potential emergencies,

vii.        provides appropriate safety equipment in good condition, with acceptable fit and with reasonable instructions for use;

d) Waivers are not signed before entry or visit to any biohazardous Buyer location; and Seller Representatives retain the right to refuse Services until the above requirements are met to the satisfaction of the Seller Representative who are trained to have reasonable safety expectations.

2. REPLACEMENT PART(S).

As part of the Services, Seller will provide, free of charge, Replacement Parts for any defective or damaged parts due to defects in materials and workmanship. Seller will not provide, free of charge Consumables (e.g. microplates, cuvettes, spectratest plates, lamps, patch plates, water, and air filters) or Reagents. Buyer may purchase Consumables and Reagents from Seller. Replacement Parts may be new, remanufactured, or refurbished at Seller's sole discretion. Any used parts that have been replaced by Replacement Parts will become the property of Seller.

3. RESPONSE TIME AND RETURN PROCEDURE

Buyer may contact Seller via telephone or email to report any malfunction of the Product, during the hours of 9:00 a.m. and 6:00 p.m., Central European Time ("CET"), Monday through Friday, excluding holidays. A list of standard holidays will be provided to Buyer upon request. Seller will make commercially reasonable efforts to acknowledge receipt of a Service request by phone within four (4) hours, and by email within twenty-four (24) hours. All Service requests from Buyer will receive preferential consideration over Service requests from other Buyers that are not under existing warranty or Service Agreement.

For Service requests under depot service, if the Service request cannot be resolved over the telephone, Seller will fax or email a Service request package, containing a Service request number, clearance forms, and if applicable, customs forms to Buyer within twenty-four (24) hours thereafter. Upon receiving the Service request package, Buyer will prepare the defective Product for shipment to Seller's facility at 660-665 Eskdale Road, Winnersh Triangle, Wokingham, Berkshire RG41 5TS, UK in accordance with the instructions provided by Seller. Risk in relation to the Product will remain with Buyer at all times and Buyer is responsible for procuring insurance at its own cost. Seller will provide Buyer the option to purchase insurance which Seller will organise. Response times under this Clause 3 shall not be of the essence.

For Service requests under field service, if the Service request cannot be resolved over the telephone, Seller will dispatch its Seller Representative. For drug discovery or bioresearch Products, Seller will use reasonable endeavors to have its Seller Representative arrive at Buyer's location within three (3) business days after the Seller Representative is dispatched but response time of Seller shall not be of the essence.

4. SUPPORT CONDITIONS

Seller's obligation to provide the Services is conditional on Buyer: a) notifying Seller of any malfunction of the Product within a reasonable period of time; b) providing Seller all information relating to the malfunction; c) shipping the defective Product (if the Product is depot serviced) to Seller's facility in accordance with Seller's instructions; d) providing access to the defective Product, Buyer's employees working with the Product and Buyer's facility where the Product is located and informing Seller of any health and safety rules or potential hazards which may be encountered while servicing the Product (if the Product is field serviced); and e) returning a completed and signed Clearance Certification.

5. SERVICE EXCLUSIONS

Seller is not obliged to provide the Services if any malfunction arises from or relates to: (a) improper installation of the Product; (b) neglect, misuse or abuse of the Product; (c) use of unauthorized parts, Consumables or Reagents, or removal of any parts; (d) repair, modification or alteration of the Product by anyone other than an authorized Seller Representative; (e) relocation of the Product; (f) failure of or erratic electrical power; or (h) fire, earthquake, flood, or other force majeure event in accordance with Clause 15. The Services do not include training in using, diagnosing, or repairing the Product, relocation of the Product, or any service other than those referred to herein. Seller may refuse to provide the Services with respect to any Product which has not been properly maintained or which cannot be decontaminated or cleaned to remove any hazardous material.

6. SOFTWARE SUPPORT AND MAINTENANCE SERVICES

The Software support and maintenance services include the following services:

i)        Seller will answer technical questions concerning functions and features of the Software;

ii)       Seller will provide error verification, analysis and corrective efforts for the Software; and

iii)      Seller will provide, without charge, releases of the Software that Seller provides to Buyer to correct errors, fix bugs, or create minor improvements, incremental features, or enhancements of existing features (the "Update(s)") which Updates Seller will designate by a change in the number to the Update of the Software released during the term of this Agreement.

As used herein, a Software Update is designated by a change in the number to the right of the first or second decimal point. For greater clarity, Updates do not include those releases of the Software that provide substantial new features or additional functionality which Seller designates by a change in the number to the left of the first decimal point. Buyer acknowledges that all reported errors may not be corrected. Any Update will be deemed part of the Software and will be used in accordance with the requirements and obligations in the license agreement for the Software.

7. EXCLUSIONS FROM SOFTWARE SUPPORT

In addition to the exclusions provided in Section 5 above, Seller will not be obliged to provide the Software support services if (a) any error is caused by malfunction of any hardware (other than malfunction of any Product) used with the Software, (b) error or malfunction of any third party software used by Buyer either separately or in conjunction with Seller's Software, or (c) Buyer has failed to incorporate the latest Update previously released to Buyer.

8. REINSTATEMENT INSPECTION

If the original warranty or previous Service Agreement for any Product has expired, a reinstatement inspection by Seller, which confirms that such Product has been properly maintained, will be required before Seller will provide the Services for such Product under this Agreement. If reinstatement inspection is required, Buyer will be separately billed for the costs for reinstatement inspection. The fees for Services do not include reinstatement inspection.

9. IP OWNERSHIP

As between Seller and Buyer, Seller will exclusively own all rights in and to any inventions, improvements, or technology created, developed, or made by any employee or contractor of Seller in connection with the performance of the Services.

10. WARRANTY AND DISCLAIMER

THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND. EXCEPT AS PROVIDED IN THE TERMS AND CONDITIONS OF SALE OF THE PRODUCT, SELLER HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICES, THE PRODUCTS, AND THE REPLACEMENT PARTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

11. LIMITATION OF LIABILITY

IN NO EVENT WILL SELLER BE LIABLE FOR ANY LOST PROFITS, ARISING FROM OR RELATING TO THESE TERMS & CONDITIONS OR THE SERVICES NEITHER WILL THE SELLER BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, EXEMPLARY, SPECIAL, OR INCIDENTAL DAMAGES, ARISING OUT OF I) ANY BREACH OF THESE TERMS AND CONDITIONS AND II) ANY USE MADE BY THE BUYER OF THE SERVICES; AND ANY REPRESENTATION, STATEMENT OR TORTIOUS ACT OR OMISSION (INCLUDING NEGLIGENCE) ARISING UNDER OR IN CONNECTION WITH THE AGREEMENT. SELLER'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THE SERVICES, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL NOT EXCEED THE FEES PAID FOR THE SERVICES. ONE OR MORE CLAIMS WILL NOT ENLARGE THIS LIMIT. NOTHING IN THESE TERMS AND CONDITIONS SHALL LIMIT OR EXCLUDE THE SELLER'S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY ARISING FROM ANY NEGLIGENT ACT OR OMISSION OF SELLER.

12. INDEMNITY

Buyer will defend, indemnify, and hold Seller harmless from any and all claims, losses, damages, debts, settlements, costs, attorneys' fees, expenses and liabilities of any type whatsoever (collectively referred to as"Claims") arising from or related to any injury to employees or contractors of Seller caused by improper installation or use of a Product by Buyer, power supply used by Buyer with a Product, or any material processed by a Product. Seller will have the right to participate in or conduct the defense of such Claim with counsel of its own choice. Seller will use reasonable effort to promptly notify Buyer of any such Claim. No settlement of a Claim will be binding on Seller without its prior written consent.

13. TERM AND TERMINATION

Either party may terminate a Service Agreement, effective immediately, if the other party commits a material breach of the terms and conditions herein and fails to cure such breach within thirty (30) days after receiving written notice thereof. If Seller terminates a Service Agreement as a result of Buyer's material breach, Seller will not be obliged to refund any portion of the fees paid for the Services. Buyer may terminate a Service Agreement by providing to Seller thirty (30) days prior written notice. In which event, Seller will provide a prorated refund of the fees paid for the Services based on the remaining duration of the Service Agreement. Sections 9, 10, 11, 12, 13, 14 and 15 will survive any termination or expiration of a Service Agreement.

14. INDEPENDENT CONTRACTOR

The parties are acting hereunder as independent contractors and not as partners, agents, fiduciaries, or joint venturers. Neither party has the power or authority represent, act for, bind, or otherwise create or assume any obligation on behalf of the other party.

15. FORCE MAJEURE

Any delay in the performance of any duties under Warranty or a Service Agreement (except for payment of fee owed) by either party will not be considered a breach if such delay is caused by a labor dispute, shortage of materials, fire, earthquake, flood, or other event beyond the control of such party, provided that such party uses reasonable efforts to notify the other party of the circumstances causing the delay and to resume performance as soon as possible. Where an event of Force Majeure prevails for a continous period of 6 of months, either party may terminate the Service Agreement by giving 7 days written notice to the other party. On expiry of the notice period, this service agreement will terminate. Such termination shall be without prejudice to the rights of the parties in respect of any breach of these Terms and Conditions.

Terms and Conditions

1. General; Entire Agreement

A. The sale of instrument(s), consumable(s), reagent(s), software or service part(s) (collectively hereinafter referred to as the "Product(s)") or provision of services in support of Products (the "Service(s)") by Molecular Devices (UK) Ltd, having its registered offices at 660-665 Eskdale Road, Winnersh Triangle, Wokingham, Berkshire RG41 5TS, UK (the "Seller") to the party purchasing the Products (the "Buyer") shall be governed by these terms and conditions.

B. Seller's offer to sell the Products to Buyer is expressly limited to Buyer's acceptance of these terms and conditions. Any of the following constitutes Buyer's unqualified acceptance of these terms and conditions:

      1.        Issuance or assignment of a purchase order for the Products,

      2.        Acceptance of any Product under the purchase order, or

      3.        Payment for any of the Products under the purchase order.

C. Additional or different terms or conditions proposed by Buyer (including any additional or different terms provided in a purchase order) shall be void and of no effect unless specifically accepted in writing by Seller.

D. This Agreement shall be the exclusive agreement between the parties for the Products and Services, subject to the terms and conditions herein. Any prior or contemporaneous understandings, agreements, and representations, oral or written, are superseded by these terms and conditions. No modification to these terms and conditions shall be valid unless in writing and signed by Seller.

E. Agents and sales representatives of Seller have no authority to make any representations not included herein, and any such representations should not be relied on by Buyer.

2. License

Buyer acknowledges that any software programs included with the Products (the "Software") are licensed to Buyer under the terms and conditions of the click-through license agreement provided with the Software and that title to the Software (or any copies thereof) is not transferred to Buyer. As used herein, the term "sale" or "sold" in connection with the Software means sale of a license to use the Software.

3. Price

The Products and other items or Services covered by this Agreement shall be sold and invoiced at the prices listed on the quotation, website or published price list (the "Price"). Prices do not include value added tax (VAT), sales, excise, use or other taxes now in effect or hereafter levied by reason of this transaction. Buyer will pay and indemnify and hold Seller harmless from all such taxes.

4. Payment Terms

A. Payment terms are net thirty (30) days from date of invoice. Seller reserves the right to require alternative payment terms, including, without limitation, site draft, letter of credit or payment in advance. Time of payment shall be of the essence and payments shall be made without deduction or set off.

B. If payment is not received by the due date, a late charge will be added at the rate of one and one-half percent (1.5%) per month (eighteen percent (18%) per year) or the maximum legal rate, whichever is less, to unpaid invoices from the due date thereof.

D. Where Buyer fails to pay any amount owed to Seller by more than ten (10) days after the due date, then without limiting any other rights and remedies available to Seller under the law, in equity, or under the Agreement, Seller may (i) suspend production, shipment or deliveries of any or all Products purchased by Buyer, or (ii) by notice to Buyer, treat such late payment as a repudiation by Buyer of the portion of the Agreement not then fully performed, whereupon Seller may cancel all further deliveries and any amounts unpaid hereunder shall immediately become due and payable. If Seller retains a collection agency and/or attorney to collect overdue amounts, all collection costs, including attorney's fees and expenses, shall be payable by Buyer. Buyer hereby represents to Seller that Buyer is now solvent and agrees that each acceptance of delivery of the Products sold hereunder shall constitute reaffirmation of this representation at such time.

5. Purchase Money Security Interest

Seller reserves a purchase money security interest in the Products in the amount of the purchase price of such Products to secure Buyer's obligations hereunder. Buyer appoints Seller as its agent and attorney-in-fact to execute any financing statements under the Uniform Commercial Code and any appropriate amendments thereto on Buyer's behalf which Seller deems necessary to protect Seller's interest in the Products.

6. Shipment

A. Seller will be responsible for shipment to Buyer. Seller will ship by the method it deems most advantageous. When special or export packaging is required, the cost of the same, if not set forth on the invoice, will be separately invoiced.

B. Seller may make delivery in installments and may render a separate invoice for each installment. Each installment shall be deemed a separate sale. Delay in delivery of any installment shall not relieve Buyer of its obligation to accept delivery of remaining installments. Any delivery not in dispute shall be paid for on the due date, as provided in this Agreement, without any offset, regardless of controversies relating to other delivery or undelivered products.

C. All Products shall be suitably packed for air and ground shipment, unless otherwise requested by Buyer and agreed to in writing by Seller.

D. Where the total value of any purchase order does not exceed £250 Seller reserves the right to apply a shipping and handling charge. Details of such charges are set out in a schedule of shipping and handling charges which is available to Buyer on request. Buyer notes that Seller may vary the charges set out in the schedule of shipping and handling charges from time to time. .

7. Title, Risk of Loss, Insurance

Unless stated otherwise by Seller, all shipments will be C.I.P. (Carriage and Insurance Paid) (Incoterms 2010) Seller's shipping facility. The Incoterms nothwithstanding, transportation charges will be invoiced to Buyer by Seller. All Products are to be shipped by air freight from Seller's shipping facility. Title to the Products and risk of loss or damage to each shipment shall pass to Buyer when Seller or its agent tenders such shipment to the carrier.

8. Acceptance

Buyer or Buyer's agent may inspect the Products at Seller's place of manufacture. Buyer shall accept any tender of the Products by Seller which substantially conforms to the description of the Products set forth herein. Buyer shall be deemed to have irrevocably accepted any Product and, subject to Section 13, Buyer's right to reject such Product shall cease, unless Buyer gives to Seller notice of rejection in writing: (a) in the case of defects discoverable through inspection, within ten (10) days after delivery to the destination specified in Buyer's purchase order, or (b) in the case of defects not discoverable through inspection, within twenty (20) days after delivery to the destination specified in Buyer's purchase order. Buyer's notice must specify the nature of the defect or grounds for the rejection in reasonable detail. Buyer's right to inspect and reject any defective Product as described in this Section 8 does not apply to any Replacement Parts (as defined in Section 13). Buyer must obtain a return material authorization ("RMA") number from Seller prior to returning any defective Product. Any Product returned by Buyer without a RMA number shall not be accepted by Seller.

9. Returns

Seller may, at its discretion, accept the return of a purchased Product within twenty (20) days of shipment from Seller. All returns must be in original packaging and unopened and must display a valid RMA number provided by Seller. Buyer is responsible for paying a restocking fee of twenty five percent (25%) of the Price and all return shipping and insurance charges. Buyer assumes all liability for any damage that occurs on return shipment to Seller. For greater clarity, purchased consumables (the "Consumable(s)") or reagents (the "Reagent(s)") may not be returned by Buyer.

10. Force Majeure

Seller shall not be liable, directly or indirectly, for any delay or failure in performance of any obligation under this Agreement, including any delivery obligation, where such delay or failure arises or results from a cause beyond Seller's reasonable control, or beyond the reasonable control of Seller's suppliers or contractors, including, but not limited to strike, boycott or other labor disputes, embargo, governmental regulation, inability or delay in obtaining materials, acts of God, war, earthquake, fire, or flood. In the event of such force majeure, the time for delivery or other performance will be extended for a period equal to the duration of the delay caused thereby, provided that Seller notifies Buyer of the nature and duration of such force majeure event.

11. Limitation of Liability

IN NO EVENT WILL SELLER BE RESPONSIBLE OR LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY LOST PROFITS, OR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL OR CONTINGENT DAMAGES ARISING FROM OR RELATING TO THIS CONTRACT, EVEN IF SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SELLER'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THIS AGREEMENT, INCLUDING FOR ANY LIABILITY ON ACCOUNT OF A CLAIMED DEFECT IN ANY PRODUCT DELIVERED BY SELLER, WHETHER IN CONTRACT OR TORT OR OTHERWISE, SHALL IN NO EVENT EXCEED THE PURCHASE PRICE OF THE PRODUCT PAID BY BUYER ON WHICH THE CLAIM IS BASED. NOTHING IN THIS AGREEMENT SHALL LIMIT OR EXCLUDE THE SELLER'S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION OR DEATH OR PERSONAL INJURY ARISING FROM ANY NEGLIGENT ACT OR OMISSION OF THE SELLER.

12. Choice of Law, Venue, and Attorney's Fees

This Agreement is made in, governed by, and shall be construed in accordance with the laws of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. Buyer and Seller expressly and irrevocably submit to the exclusive jurisdiction of the Courts of England and Wales. The prevailing party in any legal action brought by one party against the other shall be entitled, in addition to any rights and remedies it may have, to reimbursement for its expenses incurred thereby, including court costs and reasonable attorney's fees and expenses.

13. Warranty

A. Instrument Warranty. Seller warrants that the instrument (the"Instrument(s)") purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Instrument has been operated at all times in accordance with the instruction manual and user guide by or under the direct supervision of a certified operator who has attended Seller's training course for the Instrument. If the Instrument is installed by an authorized field service engineer of Seller (the "Seller Representative"), then the warranty period for the Instrument begins upon shipment of the Instrument and ends twelve (12) months after the date of installation (as certified by Seller Representative) or thirteen (13) months after the date of shipment, whichever is shorter. If the Instrument is not installed by a Seller Representative, the warranty period for the Instrument terminates twelve (12) months after date of shipment. Seller will provide field service for drug discovery Products under warranty, and at Sellers sole discretion will provide either field or depot service for bioresearch Products under warranty.

B. Instrument Accessory Warranty. Seller warrants that the option, accessory or media on which a copy of the software is placed (each hereinafter referred to as an "Instrument Accessory") will be free from defects in materials and workmanship during the applicable warranty period. If an Instrument Accessory is acquired at the time the Instrument is purchased, then the warranty period for the Instrument Accessory will be the same as the warranty period for the Instrument. If an Instrument Accessory requires installation after the Instrument is purchased, but during the warranty period of the Instrument, then the warranty period for the Instrument Accessory will be the greater of (i) the remaining warranty period for the Instrument, or (ii) the lesser of ninety (90) days from the date of installation of the Instrument Accessory or one hundred and twenty (120) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory requires installation after the warranty period for the Instrument has expired, the warranty period for the Instrument Accessory will be the lesser of ninety (90) days from the date of installation of the Instrument Accessory or one hundred and twenty (120) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory that does not require installation is acquired after the Instrument is purchased, but during the warranty period of the Instrument, then the warranty period for the Instrument Accessory will be the greater of (i) the remaining warranty period for the Instrument, or (ii) ninety (90) days from the date of shipment of the Instrument Accessory. If an Instrument Accessory that does not require installation is acquired after the warranty period for the Instrument has expired, the warranty period for the Instrument Accessory will be ninety (90) days from the date of shipment of the Instrument Accessory.

C. Instrument Service Parts Warranty. Seller warrants that the Instrument service parts (the "Replacement Part(s)") purchased from Seller will be free of defects in materials and workmanship, only if such parts are installed by Seller Representative. The warranty period for the Replacement Part is the greater of (i) the remaining warranty period of the Instrument, or (ii) ninety (90) days from the date of installation of the Replacement Part.

D. Software Warranty. Seller warrants that the Software purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Software has been operated at all times in accordance with the instruction manual and user guide by or under the direct supervision of a certified operator who has attended Seller's training course for the Software. If the Software is installed by an authorized Seller Representative, then the warranty period for the Software begins upon installation of the Instrument and ends twelve (12) months after the date of installation (as certified by Seller Representative) or thirteen (13) months after the date of shipment, whichever is shorter. If the Software is not installed by a Seller Representative, the warranty period for the Software terminates twelve (12) months after date of shipment.

E. Consumable and Reagent Warranty. Seller warrants that the Consumables and Reagents purchased from Seller will be free from defects in materials and workmanship during the applicable warranty period, provided that the Consumable or Reagent has been used at all times in accordance with the instruction manual and user guide. Each Consumable and Reagent is shipped with documentation stating specifications and other technical information. Seller's Consumables and Reagents are warranted to meet or exceed the stated specifications. Sellers' sole obligation and the Buyer's sole remedy are limited to replacement of the Consumables and Reagents free of charge in the event that the Consumable or Reagent fails to perform as warranted. The warranty period for the Consumable or Reagent ends six (6) months after the date of shipment.

F. Warranty Exclusion. The warranties provided above and the remedies provided below will not apply to any Product if: (i) Seller determines that a problem is caused by accident, abuse, misuse, negligence, misapplication, fire, earthquake, flood, other force majeure event, failure of electrical power, the use of unauthorized parts or reagents, or unauthorized repairs or modifications; (ii) Seller determines that a problem is caused during or as a result of shipment or relocation; (iii) Seller's serial number has been removed or defaced from the Product; or (iv) a problem arises from or is based on Seller's compliance with Buyer's specifications

G. Remedy. For any breach of the warranties provided in this statement, Seller will, at its own expense and option, and as its sole obligation, and as Buyer's exclusive remedy, (a) repair or replace any defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent if Buyer notifies Seller during the applicable warranty period and Seller determines that the Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent is defective and is covered by the warranty; or (b) if Seller determines that it is unable to repair or replace the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent, refund the purchase price paid by Buyer for the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent. Seller is not required to repair, replace or refund any defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent if Buyer fails or refuses to certify to the Seller in writing that the Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent has been appropriately decontaminated and cleaned and is safe for handling by Seller personnel (the "Clearance Certificate"). The warranty period for the repaired or replaced Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent will not exceed the warranty period for the defective Instrument, Instrument Accessory, Replacement Part, Consumable or Reagent. The warranty period for any Replacement Parts, which may be new, remanufactured or refurbished at Seller's sole discretion, will not exceed the warranty period for the defective Instrument or Instrument Accessory.

H. Warranty Disclaimer. THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EITHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE PRODUCTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

I. Additional Disclaimer. Any sample or model of the Product(s) used in connection with this Agreement is for illustrative purposes only, is not part of the basis of this Agreement, and is not to be construed as a warranty that the Products will conform to the sample or model. No affirmation of fact or promise made by Seller, or Seller Representative whether or not in this Agreement, shall constitute a warranty that the Products will conform to the affirmation or the promise.

14. Assignment

This Agreement and Buyer's rights hereunder may not be assigned to any third party by Buyer except with the prior written approval of Seller. Any assignment of this Agreement or any rights hereunder in violation of this Section will be null and void.

15. Waiver

Waiver by Seller of any provision of this Agreement or breach by Buyer on any provision of this Agreement shall not be deemed a waiver of future compliance with this Agreement, and such provision, as well as all other provisions of this Agreement, shall remain in full force and effect.

16. Compliance with Law

A. Buyer agrees to comply with all applicable foreign, U.S., state, and local laws, rules, and regulations relating to this Agreement and the Products including the laws, rules, and regulations of the United States which restrict the export and re-export of commodities and technical data of United States origin, including the Products. B. Furthermore, Buyer shall not resell any Product, and Seller shall have no obligation to sell any Product to Buyer, to or for use of any ultimate purchaser with which Seller could not deal under the laws and regulations of the United States, including, without limitation, the regulations of the United States Departments of Commerce, Defense, State and Treasury. Buyer further agrees to immediately transmit to Seller any information which may come to its attention concerning violation of such regulations by Buyer's customers. C. Buyer will defend, indemnify, and hold harmless Seller from and against any violation of any laws, rules or regulations by Buyer or any of its agents, officers, directors, or employees in violation of this Section.

17. Service Agreement

Buyer may purchase annual maintenance and support services for any Product in accordance with Exhibit A (the "Service Agreement") provided that Seller generally offers such services at such time.

18. Entire Agreement

These terms and conditions represent the entire agreement between the parties as to the matters set forth herein and supersedes all prior agreements, discussions and understanding between the parties. Buyer may not assign or transfer any of its rights or obligations under these Terms & Conditions. Any additional or inconsistent terms provided by purchase order will not have any legally binding effect.

Terms and Conditions of Maintenance and Support

1. SERVICES

Subject to the terms and conditions herein, Seller will use commercially reasonable efforts to provide to Buyer the following services for the Product (the "Services"):

a) diagnosis and repair for any malfunction resulting from and traceable to defects in materials and workmanship of Seller; and

b) software maintenance and support as further described in Section 6 below.

Subject to Buyer's payment of the fees for the Services, Seller will be responsible for all costs incurred in providing the Services including labor and materials, shipping and travel expenses, except as otherwise provided herein. Seller shall have the right to determine in its sole discretion what corrective action Seller will perform to fix any malfunction in the Product. Seller may subcontract the Services to a third party contractor provided that Seller will be responsible for the third party contractor's compliance with the terms herein.

Seller, provides Services for the Products in accordance with the following requirements:

a) Seller's Products are removed and decontaminated from biohazardous Buyer's location;

b) Entry into Biosafety level ("BSL") 4 Buyer location by Seller Representative is not permitted for any purpose;

c) Entry into BSL 3 Buyer location is permitted and Services are provided, with confidentiality, when the Buyer;

i.        justifies that removal of the Product from the Buyer location is not feasible,

ii.        provides evidence of decontamination, when asked, for Products that require Service,

iii.        provides a list of recommended inoculations available against the biohazardous location materials,

iv.        provides information about hazards in the location,

v.        provides instructions for safe entry into the location,

vi.        provides instructions for fire, exposure or spill and other potential emergencies,

vii.        provides appropriate safety equipment in good condition, with acceptable fit and with reasonable instructions for use;

d) Waivers are not signed before entry or visit to any biohazardous Buyer location; and

e) Seller Representatives retain the right to refuse Services until the above requirements are met to the satisfaction of the Seller Representative who are trained to have reasonable safety expectations.

2. REPLACEMENT PART(S)

As part of the Services, Seller will provide, free of charge, Replacement Parts for any defective or damaged parts due to defects in materials and workmanship. Seller will not provide, free of charge Consumables (e.g. microplates, cuvettes, spectratest plates, lamps, patch plates, water, and air filters) or Reagents. Buyer may purchase Consumables and Reagents from Seller. Replacement Parts may be new, remanufactured, or refurbished at Seller's sole discretion. Any used parts that have been replaced by Replacement Parts will become the property of Seller.

3. RESPONSE TIME AND RETURN PROCEDURE

Buyer may contact Seller via telephone or email to report any malfunction of the Product, during the hours of 8:00 a.m. and 5:00 p.m., Greenwich Mean Time ("GMT"), Monday through Friday, excluding holidays. A list of standard holidays will be provided to Buyer upon request. Seller will make commercially reasonable efforts to acknowledge receipt of a Service request by phone within four (4) hours, and by email within twenty-four (24) hours. All Service requests from Buyer will receive preferential consideration over Service requests from other Buyers that are not under existing warranty or Service Agreement.

For Service requests under depot service, if the Service request cannot be resolved over the telephone, Seller will fax or email a Service request package, containing a Service request number, clearance forms, and if applicable, customs forms to Buyer within twenty-four (24) hours thereafter. Upon receiving the Service request package, Buyer will prepare the defective Product for shipment to Seller's facility at 660-665 Eskdale Road, Winnersh Triangle, Wokingham, Berkshire RG41 5TS, UK in accordance with the instructions provided by Seller. Risk in relation to the Product will remain with Buyer at all times and Buyer is responsible for procuring insurance at its own cost. Seller will provide Buyer the option to purchase insurance which Seller will organise. Response times under this Clause 3 shall not be of the essence. For Service requests under field service, if the Service request cannot be resolved over the telephone, Seller will dispatch its Seller Representative. For drug discovery or bioresearch Products, Seller will use reasonable endeavors to have its Seller Representative arrive at Buyer's location within three (3) business days after the Seller Representative is dispatched but response time of Seller shall not be of the essence.

4. SUPPORT CONDITIONS

Seller's obligation to provide the Services is conditional on Buyer:

a) notifying Seller of any malfunction of the Product within a reasonable period of time;

b) providing Seller all information relating to the malfunction;

c) shipping the defective Product (if the Product is depot serviced) to Seller's facility in accordance with Seller's instructions;

d) providing access to the defective Product, Buyer's employees working with the Product and

Buyer's facility where the Product is located and informing Seller of any health and safety rules or potential hazards which may be encountered while servicing the Product (if the Product is field serviced); and e) returning a completed and signed Clearance Certification.

5. SERVICE EXCLUSIONS

Seller is not obliged to provide the Services if any malfunction arises from or relates to: (a) improper installation of the Product; (b) neglect, misuse or abuse of the Product; (c) use of unauthorized parts, Consumables or Reagents, or removal of any parts; (d) repair, modification or alteration of the Product by anyone other than an authorized Seller Representative; (e) relocation of the Product; (f) failure of or erratic electrical power; or (h) fire, earthquake, flood, or other force majeure event in accordance with Clause 15. The Services do not include training in using, diagnosing, or repairing the Product, relocation of the Product, or any service other than those referred to herein. Seller may refuse to provide the Services with respect to any Product which has not been properly maintained or which cannot be decontaminated or cleaned to remove any hazardous material.

6. SOFTWARE SUPPORT AND MAINTENANCE SERVICES

The Software support and maintenance services include the following services:

i)          Seller will answer technical questions concerning functions and features of the Software;

ii)         Seller will provide error verification, analysis and corrective efforts for the Software; and

iii)        Seller will provide, without charge, releases of the Software that Seller provides to Buyer to correct errors, fix bugs, or create minor improvements, incremental features, or enhancements of existing features (the "Update(s)") which Updates Seller will designate by a change in the number to the Update of the Software released during the term of this Agreement.

As used herein, a Software Update is designated by a change in the number to the right of the first or second decimal point. For greater clarity, Updates do not include those releases of the Software that provide substantial new features or additional functionality which Seller designates by a change in the number to the left of the first decimal point.

Buyer acknowledges that all reported errors may not be corrected. Any Update will be deemed part of the Software and will be used in accordance with the requirements and obligations in the license agreement for the Software.

7. EXCLUSIONS FROM SOFTWARE SUPPORT

In addition to the exclusions provided in Section 5 above, Seller will not be obliged to provide the Software support services if (a) any error is caused by malfunction of any hardware (other than malfunction of any Product) used with the Software, (b) error or malfunction of any third party software used by Buyer either separately or in conjunction with Seller's Software, or (c) Buyer has failed to incorporate the latest Update previously released to Buyer.

8. REINSTATEMENT INSPECTION

If the original warranty or previous Service Agreement for any Product has expired, a reinstatement inspection by Seller, which confirms that such Product has been properly maintained, will be required before Seller will provide the Services for such Product under this Agreement. If reinstatement inspection is required, Buyer will be separately billed for the costs for reinstatement inspection. The fees for Services do not include reinstatement inspection.

9. IP OWNERSHIP

As between Seller and Buyer, Seller will exclusively own all rights in and to any inventions, improvements, or technology created, developed, or made by any employee or contractor of Seller in connection with the performance of the Services.

10. WARRANTY AND DISCLAIMER.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND. EXCEPT AS PROVIDED IN THE TERMS AND CONDITIONS OF SALE OF THE PRODUCT, SELLER HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICES, THE PRODUCTS, AND THE REPLACEMENT PARTS, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

11. LIMITATION OF LIABILITY

IN NO EVENT WILL SELLER BE LIABLE FOR ANY LOST PROFITS ARISING FROM OR RELATING TO THESE TERMS & CONDITIONS OR THE SERVICES NEITHER WILL THE SELLER BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, EXEMPLARY, SPECIAL, OR INCIDENTAL DAMAGES ARISING OUT OF I) ANY BREACH OF THESE TERMS & CONDITIONS AND II) ANY USE MADE BY THE BUYER OF THE SERVICES; AND ANY REPRESENTATION, STATEMENT OR TORTIOUS ACT OR OMISSION (INCLUDING NEGLIGENCE) ARISING UNDER OR IN CONNECTION WITH THE AGREEMENT. SELLER'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THE SERVICES, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL NOT EXCEED THE FEES PAID FOR THE SERVICES. ONE OR MORE CLAIMS WILL NOT ENLARGE THIS LIMIT. NOTHING IN THESE TERMS AND CONDITIONS SHALL LIMIT OR EXCLUDE THE SELLER'S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY ARISING FROM ANY NEGLIGENT ACT OR OMISSION OF SELLER.

12. INDEMNITY

Buyer will defend, indemnify, and hold Seller harmless from any and all claims, losses, damages, debts, settlements, costs, attorneys' fees, expenses and liabilities of any type whatsoever (collectively referred to as"Claims") arising from or related to any injury to employees or contractors of Seller caused by improper installation or use of a Product by Buyer, power supply used by Buyer with a Product, or any material processed by a Product. Seller will have the right to participate in or conduct the defense of such Claim with counsel of its ownchoice. Seller will use reasonable effort to promptly notify Buyer of any such Claim. No settlement of a Claim will be binding on Seller without its prior written consent.

13. TERM AND TERMINATION

Either party may terminate a Service Agreement, effective immediately, if the other party commits a material breach of the terms and conditions herein and fails to cure such breach within thirty (30) days after receiving written notice thereof. If Seller terminates a Service Agreement as a result of Buyer's material breach, Seller will not be obligated to refund any portion of the fees paid for the Services. Buyer may terminate a Service Agreement by providing to Seller thirty (30) days prior written notice. In which event, Seller will provide a prorated refund of the fees paid for the Services based on the remaining duration of the Service Agreement. Sections 9, 10, 11, 12, 13, 14 and 15 will survive any termination or expiration of a Service Agreement.

14. INDEPENDENT CONTRACTOR

The parties are acting hereunder as independent contractors and not as partners, agents, fiduciaries, or joint venturers. Neither party has the power or authority represent, act for, bind, or otherwise create or assume any obligation on behalf of the other party.

15. FORCE MAJEURE

Any delay in the performance of any duties under Warranty or a Service Agreement (except for payment of fee owed) by either party will not be considered a breach if such delay is caused by a labor dispute, shortage of materials, fire, earthquake, flood, or other event beyond the control of such party, provided that such party uses reasonable efforts to notify the other party of the circumstances causing the delay and to resume performance as soon as possible. Where an event of Force Majeure prevails for a continuous period of 6 of months, either party may terminate the Service Agreement by giving 7 days written notice to the other party. On expiry of the notice period, this service agreement will terminate. Such termination shall be without prejudice to the rights of the parties in respect of any breach of these Terms and Conditions.

Allgemeine Geschäftsbedingungen

1. Allgemeines; Gesamte Abrede

A. Diese Allgemeinen Geschäftsbedingungen gelten für den Verkauf von Geräten, Verbrauchsgütern, Software oder Serviceteilen (nachfolgend gemeinsam als „Produkt(e)" bezeichnet) oder die Erbringung von Dienstleistungen zur Unterstützung der Produkte („Dienstleistung(en)") durch Molecular Devices GmbH mit Sitz in Bismarckring 39, 88400 Biberach an der Riss, Deutschland. („Verkäufer") an die die Produkte kaufende Partei („Käufer") unterliegt.

B. Das Angebot des Verkäufers, die Produkte an den Käufer zu verkaufen, ist ausdrücklich beschränkt durch und steht unter dem Vorbehalt der Annahme dieser Allgemeinen Geschäftsbedingungen durch den Käufer. Jedes der folgenden stellt eine uneingeschränkte Annahme dieser Allgemeinen Geschäftsbedingungen durch den Käufer dar:

      1.        Abgabe oder Aufgabe einer Bestellung für die Produkte,

      2.        Annahme eines Produkts aufgrund der Bestellung, oder

      3.        Zahlung für eines der Produkte aufgrund der Bestellung.

C. Zusätzliche oder anderweitige vom Käufer vorgeschlagene allgemeine Geschäftsbedingungen (einschließlich etwaiger zusätzlicher oder anderweitiger in einer Bestellung vorgesehener Bedingungen) sind nichtig und unwirksam, sofern sie nicht ausdrücklich schriftlich vom Verkäufer akzeptiert werden.

D. Dieser Vertrag stellt, vorbehaltlich der hier enthaltenen Allgemeinen Geschäftsbedingungen, die ausschließliche Abrede zwischen den Parteien für die Produkte und Dienstleistungen dar. Jegliche früheren oder gleichzeitigen Abreden, Vereinbarungen und Zusicherungen mündlicher oder schriftlicher Art werden durch diese Allgemeinen Geschäftsbedingungen ersetzt. Eine änderung dieser Allgemeinen Geschäftsbedingungen ist nicht wirksam, sofern sie nicht schriftlich und mit Unterschrift des Verkäufers erfolgt.

E. Vertreter und Verkaufsmitarbeiter des Verkäufers sind nicht berechtigt jegliche hier nicht enthaltenen Zusicherungen abzugeben. Der Käufer wird darauf hingewiesen, dass etwaige solche Zusicherungen keine Verbindlichkeit haben.

2. Lizenz

Der Käufer erkennt an, dass jegliche Softwareprogramme, die den Produkten beigefügt sind („Software"), im Rahmen der Allgemeinen Geschäftsbedingungen des mit der Software zur Verfügung gestellten Klick-Through Lizenzvertrages, der vom Verkäufer auf Verlangen des Käufers zu einem früheren Zeitpunkt rechtzeitig zur Verfügung gestellt wird, an den Käufer lizenziert wird und dass Rechte über diesen Klick-Through Lizenzvertrag hinaus an der Software (oder etwaiger Kopien davon) nicht auf den Käufer übergehen. Die in diesem Vertrag in Verbindung mit der Software verwendeten Begriffe „Verkauf" und „verkauft" bedeuteten in Verbindung mit der Software den Verkauf einer Lizenz zur Verwendung der Software.

3. Preis

Die Produkte und sonstigen Gegenstände oder Dienstleistungen, auf die sich dieser Vertrag erstreckt, werden zu den auf dem Preisangebot, der Website oder der veröffentlichten Preisliste genannten Preisen verkauft und in Rechnung gestellt. Die Preise beinhalten keine Verkaufs-, Verbrauchs-, Verwendungs-, Umsatz- oder sonstige Steuern, die derzeit in Kraft sind oder in Zukunft aufgrund dieser Transaktion auferlegt werden. Der Käufer ist verpflichtet, alle diese Steuern zu tragen, den Verkäufer davon freistellen und schadlos halten.

4. Zahlungsbedingungen

A. Zahlungen haben netto innerhalb von dreißig (30) Tagen ab Rechnungsdatum zu erfolgen. Der Verkäufer behält sich das Recht vor, andere Zahlungsbedingungen vorzuschreiben, insbesondere Sichtwechsel, Akkreditiv oder Vorauszahlung.

B. Wenn eine Zahlung nicht bis zum Fälligkeitsdatum eingegangen ist, werden Verzugszinsen in Höhe von acht (8) Prozentpunkten über dem dann geltenden von der Europäischen Zentralbank (EZB) veröffentlichten Basiszinssatz pro Jahr auf die unbezahlten Rechnungen ab deren Fälligkeitsdatum erhoben.

C. Alle Zahlungen erfolgen wie folgt.

D. Wenn der Käufer mit der Zahlung eines dem Verkäufer geschuldeten Betrages für mehr als zehn (10) Tage in Verzug ist, kann der Verkäufer, ohne Einschränkung etwaiger anderer Rechte und Rechtsbehelfe, die dem Verkäufer aufgrund von Gesetz, Recht oder dem Vertrag zustehen,(i) die Produktion, Lieferung oder Auslieferungen einiger oder aller vom Käufer gekauften Produkte einstellen oder (ii) durch Mitteilung an den Käufer den Teil des Vertrages stornieren, der noch nicht vollständig erfüllt wurde und alle weiteren Auslieferungen stornieren; in diesem Fall werden etwaige hiernach noch nicht gezahlte Beträge sofort fällig und zahlbar, es sei denn, der Zahlungsverzug des Käufers wurde nicht vorsätzlich oder fahrlässig vom Käufer verursacht. Wenn der Verkäufer ein Inkassobüro und/oder einen Anwalt zum Einzug von Beträgen, hinsichtlich derer sich der Käufer in Verzug befindet, einschaltet, sind alle Einzugskosten, einschließlich der Kosten und Auslagen des Anwalts, vom Käufer zu zahlen. Der Käufer sichert hiermit dem Verkäufer zu, dass der Käufer derzeit solvent ist und sich damit einverstanden erklärt, dass jede Annahme einer Lieferung von Produkten, die hiernach verkauft werden, eine erneute Bestätigung dieser Zusicherung zum jeweiligen Zeitpunkt darstellt.

5. Sicherungsrecht wegen des Kaufpreises

Der Verkäufer behält sich ein Sicherheitsrecht wegen des Kaufpreises an den Produkten in Höhe des Kaufpreises dieser Produkte vor, um die Verpflichtungen des Käufers aus diesem Vertrag abzusichern. Der Käufer ernennt den Verkäufer als seinen Vertreter und Bevollmächtigten zur Unterzeichnung jeglicher Finanzierungserklärungen im Rahmen des Uniform Commercial Code und entsprechender Änderungen dieser im Namen des Käufers, die der Verkäufer für notwendig hält, um das Interesse des Verkäufers an den Produkten zu schützen.

6. Lieferung

A. Der Verkäufer ist für die Lieferung an den Käufer verantwortlich. Der Verkäufer wird auf die Weise liefern, die er als die vorteilhafteste ansieht. Wenn eine besondere oder eine Ausfuhrverpackung notwendig ist, werden deren Kosten, wenn diese nicht auf der Rechnung aufgeführt sind, separat in Rechnung gestellt.

B. Der Verkäufer darf Teillieferungen vornehmen. Jede Teillieferung gilt als eigenständiger Verkauf. Die verspätete Lieferung einer Teillieferung befreit den Käufer nicht von seiner Verpflichtung, die Lieferung der verbleibenden Teillieferungen anzunehmen. Eine nicht reklamierte Lieferung ist am Fälligkeitsdatum zu bezahlen, wie es in diesem Vertrag festgelegt ist. Der Käufer darf Zurückbehaltungsrechte oder andere Leistungsverweigerungsrechte nur aufgrund von Gegenforderungen geltend machen, die entweder unbestritten oder rechtskräftig festgestellt sind. Der Käufer darf gegen Ansprüche des Verkäufers nur mit Ansprüchen aufrechnen, die unbestritten oder rechtskräftig festgestellt sind.

C. Alle Produkte sind für den Luft- und Bodentransport geeignet zu verpacken, sofern der Käufer nichts anderes verlangt und der Verkäufer dem schriftlich zugestimmt hat.

D. Für den Fall, dass der Gesamtwert einer Bestellung EUR 350 nicht überschreitet, behält sich der Verkäufer das Recht vor, einen Zuschlag für die Lieferung zu erheben, der auf der Rechnung aufgeführt wird.

7. Risiko des Untergangs, Versicherung

Sofern nicht von dem Verkäufer etwas anderes angegeben ist, werden alle Lieferungen C.I.P (Carriage and Insurance Paid, frei Bestimmungshafen) (wie in den Incoterms 2010 definiert) von der Versandstätte des Verkäufers ausgeführt. Ungeachtet der Incoterms werden die Transportkosten dem Käufer vom Verkäufer in Rechnung gestellt. Alle Produkte sind von der Versandstätte des Verkäufers aus zu versenden. Das Eigentum an den Produkten und die Gefahr des zufälligen Untergangs oder der Beschädigung jeder Lieferung gehen auf den Käufer über, wenn der Verkäufer oder sein Vertreter die Lieferung dem Frachtführer zur Übergabe anbietet. Der Käufer trägt die Transportkosten und Versicherung bis zum Bestimmungshafen.

8. Annahme

Der Käufer oder ein Vertreter des Käufers kann die Produkte an dem Herstellungsort des Verkäufers prüfen. Der Käufer nimmt ein Angebot der Produkte durch den Verkäufer an, das im Wesentlichen mit der hierin dargelegten Beschreibung der Produkte übereinstimmt. Dies gilt als unwiderrufliche Annahme des Produkts durch den Käufer. Das Recht des Käufers zur Zurückweisung eines solchen Produkts aufgrund von durch Prüfung feststellbaren Mängeln endet vorbehaltlich der Ziffer 13, sofern nicht der Käufer den Verkäufer innerhalb von zehn (10) Tagen nach der Lieferung an den in der Bestellung des Käufers festgelegten Bestimmungsort entsprechend schriftlich rügt. In der Mitteilung des Käufers müssen die Art des Mangels oder die Gründe der Zurückweisung in angemessenen Einzelheiten angegeben werden. Das Recht des Käufers zur Prüfung und Zurückweisung eines mangelhaften Produkts, wie in dieser Ziffer 8 beschrieben, gilt nicht für Ersatzteile (wie in Ziffer 13 definiert). Der Käufer muss vor der Rücksendung eines mangelhaften Produkts eine Warenrücksendenummer ("RMA-Nummer") von dem Verkäufer einholen. Eine Rücksendung des Käufers wird ohne eine RMA-Nummer nicht an der Betriebsstätte des Verkäufers angenommen.

9. Rücksendungen

Zusätzlich und unabhängig von Produktrücksendungen aufgrund von Mängeln gemäß Ziffer 13 - wobei diese Bestimmung von dieser Ziffer 9 unberührt bleibt - kann der Verkäufer nach seinem Ermessen die Rücksendung eines gekauften Produkts innerhalb von zwanzig (20) Tagen ab der Versendung von dem Verkäufer annehmen. Alle Rücksendungen müssen in Originalverpackung und ungeöffnet erfolgen und müssen eine von dem Verkäufer übermittelte gültige RMA-Nummer aufweisen. Der Käufer ist zur Zahlung einer Lageraufstockungsgebühr von fünfundzwanzig Prozent (25%) und aller Rücksende- und Versicherungsgebühren verpflichtet. Der Käufer übernimmt die vollumfängliche Haftung für einen Schaden, der bei der Rücksendung an den Verkäufer eintritt. Zur Vermeidung von Zweifeln sei angemerkt, dass gekaufte Verbrauchsmaterialien („Verbrauchsmaterial(ien)") oder Reagenzien („Reagenzien") nicht vom Käufer zurückgesendet werden dürfen.

10. Höhere Gewalt

Der Verkäufer haftet weder direkt noch indirekt für Verzug bei oder für Unterlassen der Erfüllung einer Pflicht aus diesem Vertrag, einschließlich einer Lieferverpflichtung, wenn dieser Verzug oder dieses Unterlassen aufgrund einer Ursacheaußerhalb der angemessenen Kontrolle des Verkäufers oder außerhalb der angemessenen Kontrolle der Lieferanten oder Auftragnehmer des Verkäufers entstehen oder deren Folge sind, insbesondere Boykott, Embargo, staatliche Anordnung, Unmöglichkeit oder Verzug bei dem Erhalt von Materialien, höhere Gewalt, Krieg, Erdbeben, Feuer oder Hochwasser. Im Falle eines Ereignisses einer solchen höheren Gewalt wird die Zeit für die Lieferung oder andere Erfüllung um einen Zeitraum erweitert, der der Dauer des dadurch verursachten Verzugs gleich ist, vorausgesetzt, dass der Verkäufer den Käufer über die Art und die Dauer dieses Ereignisses höherer Gewalt benachrichtigt.

11. Haftungsbegrenzung

A. Vorbehaltlich der Bestimmungen in Ziffer 11. B ist die gesetzliche Haftung des Verkäufers für Schäden wie folgt begrenzt:

•      i.        der Verkäufer haftet nur bis zu dem Betrag der Schäden, der zum Zeitpunkt des Abschluss des Vertrages in Bezug auf Schäden typischerweise vorhersehbar ist, die durch eine leicht fahrlässige Verletzung einer wesentlichen vertraglichen Verpflichtung verursacht werden (d.h. eine solche vertragliche Verpflichtung deren Nichterfüllung den Zweck gefährden würde, den die Parteien durch den Vertrag zu erzielen beabsichtigen);

•     ii.        der Verkäufer haftet nicht für Schäden, die durch eine leicht fahrlässige Verletzung einer nicht wesentlichen vertraglichen Verpflichtung verursacht werden.

B. Die vorstehende Haftungsbegrenzung gilt nicht für eine zwingende gesetzliche Haftung (insbesondere für eine Haftung nach dem deutschen Produkthaftungsgesetz), eine Haftung für die Übernahme einer besonderen Garantie oder eine Haftung für Schäden, die durch vorsätzliches oder grob fahrlässiges Fehlverhalten verursacht werden oder für irgendeine Art von vorsätzlich oder fahrlässig verursachten Körperverletzungen.

C. Der Käufer wird alle angemessenen Maßnahmen zur Schadenminderung ergreifen.

D. Die Parteien haften nicht für indirekte und/oder Folgeschäden, ungeachtet des Rechtsgrundes, insbesondere nicht für entgangene Gewinne und entgangene Vorteile, sofern ein Schaden nicht durch Vorsatz oder grobe Fahrlässigkeit verursacht wurde.

E. Soweit die Haftung des Verkäufers begrenzt oder ausgeschlossen ist, gilt dies auch in Bezug auf eine persönliche Haftung seiner gesetzlichen Vertreter, Mitarbeiter und Erfüllungsgehilfen.

12. Rechtswahl, Gerichtsstand und Rechtsanwaltsgebühren

Dieser Vertrag wird in Deutschland abgeschlossen, unterliegt dem Recht Deutschlands und ist entsprechend auszulegen, unter Ausschluss der Vorschriften zum internationalen Privatrecht, die zur Anwendbarkeit der Gesetze einer anderen Rechtsordnung führen würden. Das Übereinkommen der Vereinten Nationen für Verträge über den Internationalen Warenkauf ist auf diesen Vertrag nicht anwendbar. Die Gerichte in München, Deutschland, sind für eine etwaige Klage oder ein anderes gerichtliches Verfahren in Bezug zu diesem Vertrag oder die Durchsetzung einer Bestimmung dieses Vertrags ausschließlich zuständig. Der Verkäufer darf den Käufer auch vor jedem anderen zuständigen Gericht verklagen. Der Käufer und der Verkäufer stimmen der Zuständigkeit dieser Gerichte für die Entscheidung über einen Anspruch ausdrücklich und unwiderruflich zu und unterwerfen sich ihr. Die in einer von einer Partei gegen die andere Partei erhobenen Klage obsiegende Partei hat zusätzlich zu etwaigen Rechten und Rechtsbehelfen, die sie haben kann, einen Anspruch auf Erstattung ihrer dadurch entstandenen Aufwendungen, einschließlich Gerichtskosten und angemessener Rechtsanwaltsgebühren und Aufwendungen.

13. Sach- und Rechtsmängelhaftung

A. Geräte. Der Verkäufer haftet dafür, dass das von dem Verkäufer gekaufte Gerät („Gerät(e)") zum Zeitpunkt der Lieferung frei von Material- und Ausführungsmängeln (d.h. von wesentlichen Abweichungen von der relevanten Dokumentation oder Beschreibung) sowie von Rechtsmängeln ist (jeweils ein „Gerätemangel"). Der Käufer ist verpflichtet, das Gerät jederzeit im Einklang mit dem Betriebshandbuch und der Bedienungsanleitung durch oder unter der unmittelbaren Aufsicht eines zertifizierten Bedieners, der an einem Schulungskurs des Verkäufers für das Gerät teilgenommen hat, zu bedienen. Die Verjährungsfrist für Ansprüche wegen Gerätemängeln beträgt zwölf (12) Monate ab der Lieferung des Gerätes. Wenn das Gerät von einem Außendiensttechniker des Verkäufers installiert wird („Außendiensttechniker"), beginnt die Verjährungsfrist für Ansprüche wegen Gerätemängeln bei Installation des Gerätes (wie durch den Außendiensttechniker zertifiziert) und endet zwölf (12) Monate nach dem Datum der Installation.

B. Gerätezubehör. Der Verkäufer haftet dafür, dass die Variante, das Zubehörteil oder das Medium, auf dem eine Kopie der Software platziert ist (jeweils nachstehend bezeichnet als „Gerätezubehör"), zum Zeitpunkt der Lieferung frei von Material- und Ausführungsmängeln sowie Rechtsmängeln ist (jeweils ein „Gerätezubehörmangel"). Die Verjährungsfrist für Ansprüche wegen Gerätezubehörmängeln beträgt zwölf (12) Monate. Wenn zu dem Zeitpunkt, in dem das Gerät gekauft wird, Gerätezubehör erworben wird, ist die Verjährungsfrist für Ansprüche wegen Gerätezubehörmängel dieselbe wie die Verjährungsfrist für Ansprüche wegen Gerätemängeln. Wenn Gerätezubehör eine Installation erfordert, nachdem das Gerät gekauft wird, jedoch während der Verjährungsfrist für Ansprüche wegen Gerätemängeln, beträgt die Verjährungsfrist für Ansprüche wegen Gerätezubehörmängeln zwölf (12) Monate ab dem Lieferdatum des Gerätezubehörs. Wenn Gerätezubehör die Installation durch den Außendiensttechniker erfordert, nachdem die Verjährungsfrist für Ansprüche wegen Gerätemängeln abgelaufen ist, beträgt die Verjährungsfrist für Ansprüche wegen Gerätezubehörmängeln zwölf (12) Monate ab dem Datum der Installation des Gerätezubehörs (wie von dem Außendiensttechniker zertifiziert).

C. Geräteersatzteile. Der Verkäufer haftet dafür, dass die von dem Verkäufer gekauften Geräteersatzteile („Ersatzteil(e)") zum Zeitpunkt ihrer Installation frei von Material- und Ausführungsmängeln (d.h. von wesentlichen Abweichungen von der relevanten Dokumentation oder Beschreibung) sowie von Rechtsmängeln sind (jeweils ein„Ersatzteilmangel"). Ein Ersatzteil darf nur von dem Außendiensttechniker installiert werden. Die Verjährungsfrist für Ersatzteilmängel beträgt zwölf (12) Monate ab dem Datum der Installation des Ersatzteils (wie von dem Außendiensttechniker zertifiziert).

D. Software. Der Verkäufer haftet dafür, dass die von dem Verkäufer gekaufte Software zum Zeitpunkt der Lieferung frei von Material- und Ausführungsmängeln (d.h. von wesentlichen Abweichungen von der relevanten Dokumentation oder Beschreibung) sowie Rechtsmängeln ist (jeweils ein „Softwaremangel"). Der Käufer ist verpflichtet, die Software jederzeit im Einklang mit dem Betriebshandbuch und der Bedienungsanleitung durch oder unter der unmittelbaren Aufsicht eines zertifizierten Anwenders zu nutzen, der an einem Schulungskurs des Verkäufers für die Software teilgenommen hat. Die Verjährungsfrist für Softwaremängel beträgt zwölf (12) Monate ab der Lieferung der Software. Wenn die Software von einem autorisierten Außendiensttechniker installiert wird, beginnt die Verjährungsfrist für Softwaremängel bei Installation des Geräts (wie durch den Außendiensttechniker zertifiziert).

E. Verbrauchsmaterialien und Reagenzien. Der Verkäufer haftet dafür, dass die von dem Verkäufer gekauften Verbrauchsmaterialien und Reagenzien zum Zeitpunkt der Lieferung frei von Material- und Ausführungsmängeln (d.h. von wesentlichen Abweichungen von der relevanten Dokumentation oder Beschreibung) sowie von Rechtsmängeln sind (jeweils ein„Verbrauchsmaterialmangel" oder ein „Reagenzienmangel"). Der Käufer ist verpflichtet, das Verbrauchsmaterial oder Reagenzien jederzeit im Einklang mit dem Betriebshandbuch und der Bedienungsanleitung zu verwenden. Sämtliche Verbrauchsmaterialien und Reagenzien werden mit der Dokumentation versandt, in der die Spezifikationen und andere technische Informationen angegeben sind. Die Verjährungsfrist für Verbrauchsmaterialmängel oder Reagenzienmängel beträgt zwölf (12) Monate ab der Lieferung.

F. Ausschluss. Die vorstehend vereinbarte Haftung für Sach- und Rechtsmängel und die nachstehend gewährten Rechtsbehelfe gelten nicht für ein Produkt, wenn: (i) ein Mangel durch Unfall, Missbrauch, Zweckentfremdung, Fahrlässigkeit, falsche Anwendung, Feuer, Erdbeben, Hochwasser, ein anderes Ereignis höherer Gewalt, Stromausfall, die Nutzung nicht autorisierter Ersatzteile oder Reagenzien oder nicht autorisierte Reparaturen oder Änderungen verursacht wird; (ii) ein Mangel während oder infolge eines Transports oder eines Umzugs verursacht wird; oder (iii) ein Mangel aus der Einhaltung der Spezifikationen des Käufers durch den Verkäufer entsteht oder darauf beruht. Der Käufer ist verpflichtet, die Seriennummer des Verkäufers nicht von dem Produkt zu entfernen.

G. Rechtsbehelfe. Bei einer Einschlägigkeit der oben umschriebenen Sach- und Rechtsmängelhaftung wird der Verkäufer auf eigene Kosten und nach seiner Wahl (a) ein mangelhaftes Gerät, Gerätnzubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien reparieren oder ersetzen, wenn der Käufer den Verkäufer während der jeweiligen Verjährungsfrist benachrichtigt und das Gerät, Gerätezubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien mangelhaft ist und von der Sach- und Rechtsmängelhaftung umfasst wird; oder (b) wenn der Verkäufer feststellt, dass er nicht in der Lage ist, das mangelhafte Gerät, Gerätezubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien zu reparieren oder ersetzen, den von dem Käufer gezahlten Kaufpreis für das mangelhafte Gerät, Gerätezubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien zurückzahlen. Der Käufer wird dem Verkäufer angemessen bei der Beseitigung des Mangels unterstützen, insbesondere einschließlich dessen, dass der Käufer die betroffenen Produkte (wie zum Zeitpunkt des Eintritts des Mangels in Nutzung) auf Verlangen des Verkäufers einsendet, EDV-Kapazität zur Verfügung stellt und die vom Verkäufer übermittelten Berichtigungen oder Ersatzlösungen installiert. Für den Fall, dass die Bemühungen des Verkäufers zur Beseitigung des Mangels nach einem zweiten Versuch innerhalb eines angemessenen Zeitraums scheitern, hat der Käufer das Recht, entweder die für das betroffene Produkt gezahlte oder zahlbare Vergütung zurückzuerhalten oder - nach einer letzten schriftlichen Mahnung - von dem Kauf des betroffenen Produkts zurückzutreten. Etwaige Schadenersatzansprüche des Käufers bleiben unberührt, vorausgesetzt, dass die entsprechende Haftung des Verkäufers ausschließlich durch Ziffer 11 (Haftungsbegrenzung) geregelt wird. Der Käufer vereinbart und erkennt an, dass der Verkäufer erfolgreich im Sinne dieser Ziffer 13 einen Mangel der Software beseitigt hat, wenn der Verkäufer entweder (i) innerhalb von zwei (2) Monaten nach der Benachrichtigung des Käufers von dem Mangel eine neue Version der betroffenen Software herausbringt und dem Käufer zur Verfügung stellt, in welcher der Mangel beseitigt wurde, oder (ii) falls der Verkäufer eine solche neue Version nicht zur Verfügung stellt, wenn der Verkäufer den Mangel gemäß den in dieser Ziffer 13.G a) dargelegten Modalitäten innerhalb von drei (3) Monaten nach der Mitteilung des Mangels durch den Käufer beseitigt oder - soweit für den Käufer angemessen anwendbar - durch Übermittlung eines Ersatzes oder einer Zwischenlösung.

Der Verkäufer ist nicht verpflichtet, ein mangelhaftes Gerät, Gerätezubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien zu reparieren, zu ersetzen oder zu erstatten, wenn der Käufer es unterlässt oder verweigert, dem Verkäufer schriftlich zu bestätigen, dass das Gerät, Gerätezubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien angemessen dekontaminiert und gereinigt wurdet und sicher für die Bearbeitung durch das Personal des Verkäufers ist („Freigabe-Bescheinigung"). Die Garantiezeit für das reparierte oder ersetzte Gerät, Gerätezubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien wird nicht die Verjährungsfrist für das mangelhafte Gerät, Gerätezubehör, Ersatzteil, Verbrauchsmaterial oder Reagenzien übersteigen. Die Verjährungsfrist für ein Ersatzteil, das bei der Erfüllung der Sach- und Rechtsmängelhaftung des Verkäufers aus dieser Ziffer 13 zur Verfügung gestellt wird, das nach dem alleinigen Ermessen des Verkäufers neu, wiederaufbereitet oder instand gesetzt sein kann, wird nicht die Verjährungsfrist für das mangelhafte Gerät oder Gerätezubehör übersteigen

H. Ausschluss weiterer Rechte. DIE VORSTEHENDE SACH- UND RECHTSMäNGELHAFTUNG BESTEHT IN ABWEICHUNG ZU DEN GELTENDEN GESETZLICHEN RECHTEN BEI SACH- UND RECHTSMäNGELN BEI SCHäDEN.

I. Zusätzlicher Haftungsausschluss. Ein Muster oder Modell des/der Produkt(e), das in Verbindung mit diesem Vertrag verwendet wird, dient nur Anschauungszwecken, ist nicht Grundlage dieses Vertrags und ist nicht als eine Zusicherung zu verstehen, dass die Produkte mit dem Muster oder Modell übereinstimmen. Keine von dem Verkäufer oder Vertreter des Verkäufers vorgenommene Bestätigung von Tatsachen oder eine Zusicherung - unabhängig davon, ob in diesem Vertrag oder nicht - begründet eine Haftung, dass die Produkte mit der Bestätigung oder der Zusicherung übereinstimmen werden.

14. Abtretung

Dieser Vertrag und die Rechte des Käufers hieraus dürfen von dem Käufer nicht an einen Dritten abgetreten werden, soweit der Verkäufer hierzu nicht schriftlich zugestimmt hat. Eine Abtretung dieses Vertrags oder etwaige Rechte hieraus unter Verletzung dieser Ziffer ist nichtig und ungültig.

15. Verzicht

Ein Verzicht des Verkäufers auf eine Bestimmung dieser Vertrags oder eine Verletzung einer Bestimmung dieses Vertrags durch den Käufer gilt nicht als ein Verzicht auf die zukünftige Einhaltung dieses Vertrags, und diese Bestimmung sowie alle anderen Bestimmungen dieses Vertrags bleiben vollständig in Kraft und wirksam.

16. Einhaltung von Gesetzen

A. Der Käufer stimmt zu, alle geltenden ausländischen, U.S.-amerikanischen, einzelstaatlichen und regionalen Gesetze, Regelungen und Vorschriften in Bezug auf diesen Vertrag und die Produkte einzuhalten, einschließlich der Gesetze, Regelungen und Vorschriften der Vereinigten Staaten, die den Export und die Wiederausfuhr von Waren und technischen Daten mit Ursprung in den Vereinigten Staaten beschränken. Dies schließt die Produkte mit ein.

B. Der Käufer wird den Verkäufer vor und gegenüber einer Verletzung von Gesetzen, Regelungen oder Vorschriften durch den Käufer oder einen seiner Vertreter, seiner Führungskräfte, Direktoren oder Mitarbeiter unter Verletzung dieser Ziffer verteidigen, von der Haftung freistellen und schadlos halten.

17. Dienstleistungsvertrag

Der Käufer kann jährliche Wartungs- und Unterstützungsleistungen für ein Produkt gemäß Anlage A erwerben („Dienstleistungsvertrag"), wenn der Verkäufer diese Leistungen zu diesem Zeitpunkt allgemein anbietet und wenn der Verkäufer diese Leistungen nicht vorbehaltlich der spezielleren Bedingungen anbietet, die in dem Depot-Service-Vertrag oder dem Außendienst-Vertrag dargelegt sind.

1. DIENSTLEISTUNGEN

Gemäß den Bestimmungen und Bedingungen dieses Vertrags ist der Verkäufer verpflichtet, wirtschaftlich angemessene Anstrengungen zu unternehmen, dem Käufer gegenüber die nachstehenden Dienstleistungen hinsichtlich des Produkts zu erbringen:

a) Diagnose und Reparaturen für eine Funktionsstörung, die zurechenbare Folge von Material- und Ausführungsmängeln des Verkäufers sind; und

b) Softwarewartung und Support, wie sie näher in Ziffer 6 beschrieben sind. Soweit der Käufer die Gebühren entrichtet, schuldet der Verkäufer sämtliche Kosten für die Erbringung der Dienstleistungen (einschließlich Arbeit, Materialien sowie Transport- und Reisekosten), es sei denn, in diesem Vertrag ist etwas anderes bestimmt. Der Verkäufer ist berechtigt nach alleinigem Ermessen festzustellen, welche Abhilfemaßnahme der Verkäufer erbringen wird, um eine Funktionsstörung des Produkts zu beheben. Der Verkäufer kann die Dienstleistungen als Unteraufträge an ein Drittunternehmen vergeben, soweit der Verkäufer für die Einhaltung der Bestimmungen dieses Vertrags durch das Drittunternehmen weiter verantwortlich ist.

Der Verkäufer erbringt Dienstleistungen für die Produkte gemäß den nachstehenden Anforderungen:

a) die Produkte des Verkäufers werden von einem biologisch gefährlichen Standort des Käufers entfernt und dekontaminiert;

b) der Zutritt zu einem Käuferstandort des Biosicherheitsniveaus ("BSL") 4 durch den Außendiensttechniker ist zu keinem Zweck erlaubt;

c) der Zutritt zu einem BSL 3-Käuferstandort ist erlaubt und die Dienstleistungen werden mit Vertraulichkeit erbracht, wenn der Käufer;

i.        darlegt, dass die Entfernung des Produkts von dem Standort des Käufers nicht durchführbar ist,

ii.        auf Anfrage den Nachweis der Dekontamination für Produkte vorlegt, die eine Dienstleistung benötigen,

iii.        eine Liste empfohlener Impfungen vorlegt, die gegen die biologisch gefährlichen Standortmaterialien verfügbar sind,

iv.        Informationen über Gefahren an dem Standort übermittelt,

v.        Anweisungen für den sicheren Zutritt zu dem

vi.        Anweisungen für Feuer, Belastungen oder ausgetretene Flüssigkeit und andere potenzielle Notfälle übermittelt, und

vii.        geeignete Sicherheitsausrüstung in gutem Zustand mit annehmbarer Passform und angemessenen Anweisungen für die Nutzung zur Verfügung stellt;

d) Verzichtserklärungen werden vor dem Zutritt oder Besuch eines biologisch gefährlichen Käuferstandorts nicht unterzeichnet; und

e) Außendiensttechniker behalten das Recht, Dienstleistungen abzulehnen, bis die vorstehenden Anforderungen zur Zufriedenheit deßendiensttechniker erfüllt sind, die auf angemessene Sicherheitserwartungen geschult sind.

2. ERSATZTEILE

Der Verkäufer ist verpflichtet, als Teil der Dienstleistungen gebührenfrei Ersatzteile („Ersatzteile") für aufgrund von Material- und Ausführungsmängeln mangelhafte oder beschädigte Teile (d.h. aufgrund wesentlicher Abweichungen von der entsprechenden Dokumentation oder Beschreibung) zur Verfügung stellen. Der Verkäufer ist nicht verpflichtet, Verbrauchsmaterialien (z.B. Mikroplatten, Küvetten, Spectra-Test-Platten, Lampen, Schalttafeln, Wasser- und Luftfilter) oder Reagenzien kostenlos zur Verfügung stellen. Der Käufer kann Verbrauchsmaterialien und Reagenzien vom Verkäufer erwerben. Ersatzteile können nach alleinigem Ermessen des Verkäufers neu, wiederaufbereitet oder instand gesetzt sein. Teile, die ersetzt wurden, werden Eigentum des Verkäufers.

3. REAKTIONSZEIT UND RÜCKGABEVERFAHREN

Der Käufer kann den Verkäufer telefonisch oder per Email während den Zeiten von 9:00 Uhr bis 17:00 Uhr, Montag bis Donnerstag, und von 9:00 Uhr bis 15:30 Uhr an Freitagen, ausgenommen Feiertage, kontaktieren, um eine Funktionsstörung des Produkts anzuzeigen (alle Zeiten mitteleuropäischer Sommerzeit, MEZ). Eine Liste der regulären Feiertage wird dem Käufer auf Verlangen übermittelt. Der Verkäufer ist verpflichtet, wirtschaftlich angemessene Bemühungen zu unternehmen, um den Empfang einer Dienstleistungsanfrage per Telefon innerhalb von vier (4) Stunden und per Email innerhalb von vierundzwanzig (24) Stunden zu bestätigen. Dienstleistungsanfragen des Käufers werden gegenüber Dienstleistungsanfragen anderer Käufer, die nicht von einer bestehenden Garantie oder einem Dienstleistungsvertrag abgedeckt sind, vorrangig berücksichtigt.

Wenn der Dienstleistungsanfrage nicht telefonisch abgeholfen werden kann, wird der Verkäufer innerhalb der folgenden vierundzwanzig (24) Stunden eine Dienstleistungsrückfrage an den Käufer faxen oder per Email versenden. Diese beinhaltet eine Anfragenummer, Freigabeformulare und gegebenenfalls Zollformulare. Der Käufer ist verpflichtet, das mangelhafte Produkt für den Transport zur Betriebsstätte des Verkäufers gemäß den Anweisungen des Verkäufers vorzubereiten. Der Verkäufer ist verpflichtet, den Transport zu organisieren und die Kosten des Transports des mangelhaften Produkts zum Verkäufer sowie die Kosten des Transports des reparierten oder ersetzten Produkts zu dem Käufer zu tragen. Dies umfasst nicht eventuelle Versicherungskosten. Der Käufer kann entsprechende Versicherungen erwerben.

Für Dienstleistungsanfragen im Außendienst wird der Verkäufer - wenn die Dienstleistungsanfrage nicht über das Telefon gelöst werden kann - seinen Außendiensttechniker entsenden. Für Produkte der Medikamentenentwicklung wird der Verkäufer wirtschaftlich angemessene Anstrengungen unternehmen, damit sein Außendiensttechniker innerhalb von drei (3) Tagen nach der Entsendung des Außendiensttechnikers am Standort des Käufers eintrifft. Eine Reaktionszeit von drei (3) Tagen wird nicht garantiert. Für Bioforschungsprodukte wird der Verkäufer sich wirtschaftlich angemessen bemühen, dass sein Außendiensttechniker innerhalb von drei (3) Tagen nach der Entsendung des Außendiensttechnikers am Standort des Käufers eintrifft. Eine Reaktionszeit von drei (3) Tagen wird nicht garantiert.

4. BEDINGUNGEN FÜR DEN SUPPORT

Die Pflicht des Verkäufers zur Erbringung der Dienstleistungen ist dadurch bedingt, dass der Käufer (a) den Verkäufer über eine Funktionsstörung des Produkts innerhalb eines angemessenen Zeitraums benachrichtigt; (b) an den Verkäufer alle Informationen hinsichtlich der Funktionsstörung übermittelt; (c) das mangelhafte Produkt (wenn das Produkt unter Depot-Service steht) gemäß den Anweisungen des Verkäufers an die Betriebsstätte des Verkäufers sendet; d) Zugang zu dem mangelhaften Produkt und der Betriebsstätte des Käufers gewährt, an der sich das Produkt befindet, und den Verkäufer über potenzielle Gefahren informiert, die während der Wartung des Produkts auftreten können (wenn das Produkt im Außendienst betreut wird); und e) ein ausgefülltes und unterzeichnetes Freigabezertifikat zurücksendet (wie in Ziffer 13. G der Allgemeinen Geschäftsbedingungen von Molecular Devices definiert).

5. AUSSCHLUSS DER DIENSTLEISTUNGSPLFICHT

Der Verkäufer ist zum Erbringen der Dienstleistungen nicht verpflichtet, wenn eine Funktionsstörung entsteht aus oder sich bezieht auf (a) die unsachgemäße Installation eines Produkts; (b) die Vernachlässigung, den Fehlgebrauch oder den Missbrauch eines Produkts; (c) die Verwendung nicht autorisierter Teile, von Verbrauchsmaterialien oder Reagenzien, oder der Entfernung von Teilen; (d) der Reparatur, Modifikation oder der Änderung eines Produkts durch eine andere Person als einen autorisierten Außendiensttechniker; (e) der Verlegung des Standorts eines Produkts; (f) einen Stromausfall oder Stromschwankungen; oder (g) Feuer, Erdbeben, Hochwasser oder ein sonstiges Ereignis höherer Gewalt. Die Dienstleistungen beinhalten keine Schulung für die Nutzung, Diagnose oder Reparatur eines Produkts, die Verlagerung des Standorts eines Produkts oder andere als in diesem Vertrag bezeichnete Leistung. Der Verkäufer kann das Erbringen der Dienstleistungen in Bezug auf ein Produkt ablehnen, das nicht ordnungsgemäß unterhalten wurde oder das nicht dekontaminiert oder gereinigt werden kann, um Gefahrstoffe zu entfernen.

6. Support- und Wartungsdienstleistungen

Die Software-Support- und Wartungsdienstleistungen umfassen die nachstehenden Leistungen:

i)        Der Verkäufer ist verpflichtet, technische Fragen im Hinblick auf die Funktionen und Merkmale der Software zu beantworten („Software");

ii)        der Verkäufer ist verpflichtet, Fehlerprüfungen sowie Analyse und Anstrengungen hinsichtlich der Berichtigung der Software zu erbringen; und

iii)        der Verkäufer wird von Zeit zu Zeit gebührenfrei neue Versionen der Software zur Verfügung stellen und an den Käufer übermitteln, um Fehler zu berichtigen, Defekte zu beheben oder kleinere Verbesserungen, zusätzliche Merkmale oder Erweiterungen bestehender Merkmale einzufügen („Update(s)"), wobei der Verkäufer diese Updates durch eine Änderung der Nummer der Software, die während der Laufzeit dieses Vertrags herausgegeben wurde, kenntlich machen wird.

Updates werden durch eine Änderung der Ziffer rechts neben dem ersten oder zweiten Dezimalpunkt gekennzeichnet. Klarstellend sei angemerkt, dass Updates nicht diejenigen Software Releases umfassen, die wesentliche neue Merkmale oder zusätzliche Funktionalitäten zur Verfügung stellen (solche Releases sind durch eine Änderung der Ziffer links des ersten Dezimalpunktes gekennzeichnet).

Der Käufer erkennt an, dass nicht alle gemeldeten Fehler berichtigt werden können. Ein Update der Software gilt als Teil der Software und wird gemäß den Anforderungen und Pflichten in der Lizenzvereinbarung für die Software genutzt.

7. Support Ausschluss

Zusätzlich zu den in Ziffer 5 dieses Vertrags bestimmten Ausschlüssen ist der Verkäufer nicht verpflichtet, die Software-Supportdienstleistungen zu erbringen, wenn (a) ein Fehler durch eine Funktionsstörung von mit der Software verwendeter Hardware verursacht wird (mit Ausnahme einer Funktionsstörung eines Produkts), (b) bei einem Fehler oder einer Funktionsstörung eines Softwareprodukts eines Dritten, das von dem Käufer getrennt oder in Verbindung mit der Software des Verkäufers genutzt wird, oder (c) der Käufer es unterlassen hat, die letzte Update einzuarbeiten, die zuvor an den Käufer freigegeben wurde.

8. PRÜFUNG

Wenn die ursprüngliche Sach- oder Rechtsmängelhaftung oder ein vorheriger Dienstleistungsvertrag für ein Produkt abgelaufen ist, ist eine Prüfung durch den Verkäufer, welche die ordnungsgemäße Unterhaltung dieses Produkts bestätigt, erforderlich, bevor der Verkäufer die Dienstleistungen für dieses Produkt aus diesem Vertrag erbringt. Soweit eine Prüfung erforderlich ist, ist der Käufer verpflichtet, die Kosten hierfür zu tragen. Die Gebühren (geregelt in Ziffer 8) umfassen nicht die Prüfung nach dieser Ziffer 6.

9. GEWERBLICHE SCHUTZRECHTE

Im Verhältnis zwischen dem Verkäufer und dem Käufer ist der Verkäufer der ausschließliche Inhaber aller Rechte an etwaigen Erfindungen, Verbesserungen oder Technologien, die von einem Mitarbeiter oder Auftragnehmer des Verkäufers in Verbindung mit der Erbringung der Dienstleistungen geschaffen, entwickelt oder erstellt werden.

10. SACH- UND RECHTSMäNGELHAFTUNG UND HAFTUNGSAUSSCHLUSS

Die Dienstleistungen werden unter Ausschluss der Sach- und Rechtsmängelhaftung erbracht. Soweit nicht in den Allgemeinen Geschäftsbedingungen für das Produkt etwas anderes bestimmt ist (welche ebenfalls für hiernach übermittelte Updates und vorgenommene Ersetzungen gelten), schließt der Verkäufer sämtliche Ansprüche - ob ausdrücklich, konkludent oder von Gesetzes wegen - wegen Sach- und Rechtsmängeln hinsichtlich der Dienstleistungen, der Produkte und Ersatzteile aus. Dies beinhaltet auch die Haftung für Gebrauchstauglichkeit, für die Eignung zu einem bestimmten Zweck, für Rechtsmängel und der Verletzung von Rechten Dritter.

11. HAFTUNGSBEGRENZUNG.

A. Vorbehaltlich der Bestimmungen in Ziffer 10. B ist die gesetzliche Haftung des Verkäufers für Schäden wie folgt begrenzt.

•      i.        Der Verkäufer haftet nur bis zu dem Betrag der Schäden, die im Zeitpunkt des Abschlusses des Vertrags typischerweise vorhersehbar sind und durch eine leicht fahrlässige Verletzung einer wesentlichen vertraglichen Verpflichtung verursacht werden (d.h. eine solche vertragliche Verpflichtung, deren Nichterfüllung den Zweck gefährden würde, den die Parteien durch den Vertrag zu erzielen beabsichtigen);

•     ii.        der Verkäufer haftet nicht für Schäden, die durch eine leicht fahrlässige Verletzung einer nicht wesentlichen vertraglichen Verpflichtung verursacht werden.

B. Die vorstehende Haftungsbegrenzung findet keine Anwendung bei zwingender gesetzlicher Haftung (insbesondere auf eine Haftung nach dem deutschen Produkthaftungsgesetz), einer Haftung für die Übernahme einer ausdrücklichen Garantie oder einer Haftung für vorsätzlich oder grob fahrlässig verursachte Schäden, oder für schuldhaft verursachte Körperschäden.

C. Der Käufer ist verpflichtet, sämtliche angemessenen Maßnahmen zur Schadenminderung ergreifen.

D. Die Parteien haften nicht für indirekte und/oder Folgeschäden, ungeachtet des Rechtsgrundes, insbesondere nicht für entgangene Gewinne und entgangene Vorteile, sofern nicht ein Schaden durch Vorsatz oder grobe Fahrlässigkeit verursacht wurde.

E. Soweit die Haftung des Verkäufers begrenzt oder ausgeschlossen ist, gilt dies auch für eine persönliche Haftung seiner gesetzlichen Vertreter, Mitarbeiter und Erfüllungsgehilfen.

12. HAFTUNGSFREISTELLUNG

Der Käufer ist verpflichtet, den Verkäufer von und gegenüber sämtlichen Ansprüchen, Verlusten, Schäden, Schulden, Vergleichen, Kosten, Rechtsanwaltsgebühren, Aufwendungen und sonstige Verbindlichkeiten (zusammenfassend „Ansprüche") zu verteidigen, von der Haftung freizustellen und schadlos zu halten, die aus oder in Verbindung mit Körperschäden von Mitarbeitern oder Auftragnehmern des Verkäufers entstehen, und durch Fahrlässigkeit oder Vorsatz des Käufers verursacht werden. Dies gilt insbesondere, soweit die Ansprüche infolge einer unsachgemäßen Installation oder Nutzung eines Produkts durch den Käufer, der von dem Käufer mit einem Produkt genutzten Stromversorgung oder eines durch ein Produkt verarbeiteten Material verursacht wurden. Der Verkäufer hat das Recht, an der Verteidigung gegen einen solchen Anspruch mit Rechtsberatern seiner eigenen Wahl teilzunehmen oder diese zu leiten. Der Verkäufer wird sich angemessen bemühen, den Käufer unverzüglich über einen solchen Anspruch zu benachrichtigen. Ein Vergleich über einen Anspruch wird für den Verkäufer nicht ohne seine vorherige schriftliche Zustimmung verbindlich.

13. LAUFZEIT UND KÜNDIGUNG

Die Laufzeit dieses Vertrags beginnt am Wirksamkeitsdatum und beträgt ein (1) Jahr ab dem Wirksamkeitsdatum. Jede Partei kann einen Dienstleistungsvertrag mit sofortiger Wirkung kündigen, wenn die andere Partei eine wesentliche Verletzung der Allgemeinen Geschäftsbedingungen begeht und es unterlässt, diese Verletzung innerhalb von dreißig (30) Tagen nach Erhalt einer entsprechenden schriftlichen Mitteilung zu heilen. Wenn der Verkäufer einen Dienstleistungsvertrag infolge einer wesentlichen Verletzung des Käufers kündigt, ist der Verkäufer nicht verpflichtet, den Teil der für die Dienstleistungen gezahlten Gebühren zurückzuzahlen. Der Käufer kann einen Dienstleistungsvertrag mit einer Frist von dreißig (30) Tagen schriftlich gegenüber dem Verkäufer kündigen, wenn der Verkäufer das Produkt für den Erwerb eines neuen Produkts vom Verkäufer tauscht. Der Verkäufer ist verpflichtet, die für die Dienstleistungen gezahlten Gebühren auf der Basis der verbleibenden Dauer der Laufzeit dieses Dienstleistungsvertrags anteilig zurückzuerstatten. Die Ziffern 7, 9, 10, 11, 13 und 16 bestehen über eine Kündigung oder einen Ablauf dieses Dienstleistungsvertrags fort.

14. SELBSTÄNDIGE UNTERNEHMER

Die Parteien sind als selbständige Vertragsparteien und nicht als Partner, Vertreter, Treuhänder oder Joint-Venture-Partner tätig. Keine Partei verfügt über die Befugnis oder die Ermächtigung, die andere Partei zu vertreten, für sie zu handeln, sie zu verpflichten oder auf andere Weise eine Verpflichtung in ihrem Namen eingehen oder zu übernehmen.

15. HÖHERE GEWALT

Ein Verzug der Erfüllung von Pflichten aus einer Sach- und Rechtsmängelhaftung oder diesem Dienstleistungsvertrag (die Zahlung einer geschuldeten Gebühr ist hiervon ausgenommen) durch eine Partei wird nicht als eine Verletzung angesehen, wenn dieser Verzug durch Materialknappheit, Feuer, Erdbeben, Hochwasser oder ein anderes Ereignis außerhalb der Kontrolle dieser Partei verursacht wird, vorausgesetzt, dass diese Partei sich nach angemessenen Kräften bemüht, die andere Partei über die Umstände zu informieren, die den Verzug verursachen, und die Erfüllung sobald wie möglich fortzusetzen.
